forth shall have the following respective meanings, unless the context requires otherwise: (a) The term "Certificate" additionally means any obligation of the City authorized to be issued by this Ordinance, whether initially delivered or issued in exchange for, upon transfer of or in lieu of, any Certificate previously issued; (b) The term "Ordinance" means this Ordinance; of, (c) The term "Government Securities" means direct obligations or obligations the principal of and interest on which are unconditionally guaranteed by, the United States of America, which are non-callable prior to the respective Maturities of the Certificates and may be united States Treasury Obligations such as the State and Local Government Series and may be in book-entry form. (d) The term "Holder", with respect to any Certificate, means the person or entity in whose name such Certificate is registered in the Registration Books; (e) The term "Initial Certificate" means the Certificate authorized to be issued pursuant to this Ordinance, which has the Registration Certificate executed by or on behalf of the Comptroller of Public Accounts of Texas endorsed thereon; (f) The term "Initial Date" means the date of the Initial Certificate when issued and delivered, as provided in Section 2 of this Ordinance; (g) The term "Outstanding", when used in this Ordinance with respect to Certificates, means, as of the date of determination, all Certificates theretofore delivered and issued pursuant to this Ordinance, except: (1) Certificates theretofore cancelled by the Paying Agent/Registrar or delivered to the Paying Agent/Registrar for cancellation; (2) Certificates for which payment has been duly provided by the City by the irrevocable deposit with the Paying Agent/Registrar of money in the amount necessary to fully pay the pr incipal of, premium, if any, and interest thereon to matur i ty or redemption, as the case may be; provided that, if such Certificates are to be redeemed, notice of redemption thereof shall have been duly given in accordance with this Ordinance or irrevocably provided to be given to the satisfaction of the Paying Agent/Registrar, or waived; (3) Certificates that have been mutilated, destroyed, lost, or stolen and replacement Certificates have been registered and delivered in lieu thereof as provided in this Ordinance; and (4) Certificates for which the payment of the principal of, premium, if any, and interest on has been duly provided by the deposit in trust of money or Government Securities, or both, as provided in this Ordinance. (h) The term "Paying Agent/Registrar" means the American National Bank, Austin, Texas, named in this Ordinance as such Paying Agent/Registrar, until a successor Paying Agent/Registrar shall have become such pursuant to the applicable provisions of this Ordinance, after which the term "Paying Agent/Registrar" shall mean such successor; ( i) The term "Predecessor Certificate" means Certificates cancelled by this Ordinance, evidencing all or a portion, as the case may be, of the same debt evidenced by the new Certificate or -17-
