Trustees shall ensure that the criteria set forth on Exhibit E are permitted by, and consistent <br />with the standards and the duty of care set forth in, the Act. <br />(d) Each Participant directs the Custodian to act, and the Custodian agrees to <br />act, in accordance with the instructions of the Program Administrator who shall act in a <br />manner consistent with this Agreement. The Program Administrator shall at no time have <br />custody of,possession of, or physical control over, any of the Investment Property. If a <br />Participant in error delivers Investment Funds for investment to the Program Administrator <br />instead of to the Custodian, the Program Administrator shall immediately transfer such <br />Investment Funds to the Custodian. The Program Administrator shall not be liable for any act <br />or omission .of the Custodian, but shall be liable for the Program Administrator's acts and <br />omissions as provided herein. Under no circumstance shall the Program Administrator be <br />authorized or permitted to withdraw, or instruct the Custodian to withdraw, Investment <br />Property maintained with the Custodian unless acting upon the request of a Participant <br />pursuant to Section 2.2(a). <br />4.2 Monthly Statements. <br />(a) Within 15 days subsequent to the end of each month, the Program <br />Administrator shall, on behalf of the Board of Trustees, prepare and submit to each Participant <br />which was a Participant during such month a statement setting forth the information required <br />by Section 2256.016(c)(2) of the Act. <br />(b) The Program Administrator, upon the request of a Participant, shall <br />furnish to the Participant a statement of such Participant's Balance as of the date of such <br />request, subject only to account activity as of such date provided that such request is received <br />by the Program Administrator by 5:00 p.m. CST on a given date.. <br />4.3 Reports. <br />(a) The Program Administrator shall prepare or cause to be prepared: <br />(i) at least annually a report of operations containing a statement of <br />the Investment Property and the Investment Property Liabilities and statements of operations and <br />of net changes in net assets prepared in conformity with generally accepted accounting principles <br />consistently applied and <br />(ii) at least annually an opinion of an independent certified public <br />accountant on such financial statements based on an examination of the books and records of the <br />Program Administrator with respect to the Investment Property, performed in accordance with <br />generally accepted auditing standards. A copy of such signed report of operations and <br />accountant's opinion shall be filed with the Board of Trustees and the Participants within ninety <br />(90) days after the close of the period covered thereby. <br />(b) The Program Administrator shall provide to the Board, on an annual basis, <br />the Certification substantially as set forth in Exhibit H. <br />12 <br />#4350219.1 <br />
