appointment of the Trustees as Trustees, the appointment of the Custodian as Custodian and <br />the appointment of the Program Administrator as Program Administrator; and <br />(b) the execution, delivery and performance of this Agreement by the <br />Participant are within the power and authority of the Participant and do not violate the laws of <br />the State of Texas applicable to the Participant itself and not to the other parties hereto or the <br />Participant's charter or its organizational statute, instrument or documents or any other <br />applicable local ordinance, resolution, rule or regulation; and <br />(c) the execution, delivery and performance of this Agreement has been duly <br />authorized and this Agreement is the legal, valid and binding obligation of the Participant <br />enforceable against the Participant in accordance with its terms subject to applicable <br />bankruptcy, insolvency, moratorium, fraudulent conveyance, reorganization, and similar laws <br />now or hereafter in effect relating to creditors' rights generally, and subject to general <br />principles of equity (whether applied in a proceeding at law or in equity); and <br />(d) the certificates delivered heretofore or hereafter by the Participant <br />pursuant to this Agreement, as of the date specified therein, are true and complete and contain <br />no material misstatements of fact or omissions that render them misleading; and <br />(e) the execution, delivery and performance of this Agreement do not conflict <br />with or result in the breach or termination of, or otherwise give any other person the right to <br />terminate, or constitute a default, event of default or an event with notice or lapse of time or <br />both would constitute a default or an event of default under the terms of any contract or permit <br />to which the Participant is a party or by which the Participant or its properties are bound; and <br />(f) the proposed investment strategy of the Trust is consistent with, and is <br />contemplated by the investment strategy adopted by the Participant pursuant to Section <br />2256.005(d) of the Act. <br />7.2 Representations and Warranties of the Custodian. The Custodian hereby <br />represents and warrants that: <br />(a) the Custodian is a duly organized and validly existing national banking <br />organization, organized under the laws of the United States with an office in Dallas, Texas <br />and is duly qualified to conduct business in the State of Texas; and <br />(b) the execution, delivery and performance of this Agreement have been duly <br />authorized by all necessary action on the part of the Custodian and this Agreement is the legal, <br />valid and binding obligation of the Custodian enforceable against the Custodian in accordance <br />with its terms subject to applicable bankruptcy, insolvency, moratorium, fraudulent <br />conveyance, reorganization and similar laws now or hereafter in effect relating to creditors' <br />rights generally or the rights of creditors of banks, and subject to general principles of equity <br />(whether applied in a proceeding at law or in equity); and <br />(c) the performance by the Custodian of its obligations under this Agreement <br />does not violate any laws, rules or regulations of the State of Texas applicable to the <br />Custodian itself and not to the other parties hereto. <br />25 <br />#4350219.1 <br />
