participation in this Contract has been convicted of violating federal law, or been assessed a federal <br />civil or administrative penalty, in connection with a contract awarded by the federal government for <br />relief, recovery or reconstruction efforts as a result of Hurricanes Rita or Katrina or any other disaster <br />occurring after September 24, 2005; (c) Contractor certifies that the individual or business entity <br />named in this Contract is not ineligible to receive the specified Contract under Tex. Gov. Code §§ <br />2155.004, 2155.006 or 2261.053, and acknowledges that this Contract may be terminated and <br />payment withheld if these certifications are inaccurate. <br />Section 13.06 Antitrust. <br />Pursuant to 15 USC § 1, et seq. and Tex. Bus. & Comm. Code § 15.01, et seq. Contractor certifies <br />that neither Contractor, nor anyone acting for Contractor has violated the antitrust laws of this state or <br />federal antitrust laws, nor communicated directly or indirectly regarding a bid with any competitor or <br />any other person engaged in Contractor's line of business for the purpose of substantially lessening <br />competition in such line of business. <br />Section 13.07 Initiation and Completion of Work. <br />Contractor certifies that it shall initiate and complete the work under this Contract within the <br />applicable time frame prescribed in this Contract. <br />ARTICLE XIV GENERAL BUSINESS OPERATIONS OF CONTRACTOR <br />Section 14.01 Responsibilities and Restrictions Concerning Governing Body, Officers and <br />Employees. <br />Contractor and its governing body shall bear full responsibility for the integrity of the fiscal and <br />programmatic management of the organization. This provision applies to all organizations, including <br />Section 501(c) (3) organizations as defined in the Internal Revenue Service Code as not - for -profit <br />organizations. Each member of Contractor's governing body shall be accountable for all funds and <br />materials received from Department. The responsibility of Contractor's governing body shall also <br />include accountability for compliance with Department Rules, policies, procedures, and applicable <br />federal and state laws and regulations; and correction of fiscal and program deficiencies identified <br />through self - evaluation and Department's monitoring processes. Further, Contractor's governing <br />body shall ensure separation of powers, duties, and functions of governing body members and staff. <br />Staff members, including the executive director, shall not serve as voting members of Contractor's <br />governing body. No member of Contractor's governing body, or officer or employee of Contractor <br />shall vote for, confirm or act to influence the employment, compensation or change in status of any <br />person related within the second degree of affinity or the third degree of consanguinity (as defined in <br />Tex. Gov. Code Chapter 573) to the member of the governing body or the officer or any employee <br />authorized to employ or supervise such person. This prohibition does not prohibit the continued <br />employment of a person who has been continuously employed for a period of two (2) years prior to <br />the election, appointment or employment of the officer, employee, or governing body member related <br />to such person in the prohibited degree. These restrictions also apply to the governing body, officers <br />and employees of Contractor's subcontractors.
