Section 15.19 Hold Harmless and Indemnification. <br />Contractor, as an independent contractor, agrees to hold Department, the State of Texas, individual <br />state employees and officers, and the federal government harmless and to indemnify them from any <br />and all liability, suits, claims, losses, damages and judgments; and to pay all costs, fees, and damages <br />to the extent that such costs, fees, and damages arise from performance or nonperformance of <br />Contractor, its employees, subcontractors, joint venture participants or agents under this Contract. <br />Section 15.20 Waiver. <br />Acceptance by either Party of partial performance or failure to complain of any action, non - action or <br />default under this Contract will not constitute a waiver of either Party's rights under this Contract. <br />Section 15.21 Electronic and Information Resources Accessibility and Security Standards. <br />(a) This section applies if the Contract requires the Contractor to procure or develop Electronic and <br />Information Resources (EIR) for DSHS, or to change any of DSHS' EIR. This section also applies if <br />the Contract requires the Contractor to perform a service or supply goods that include EIR that (i) <br />DSHS employees are required to use or permitted access to; or (ii) Members of the public are <br />required or permitted to access. This section does not apply to incidental uses of EIR in the <br />performance of a contract, unless the parties agree that the EIR will become property of the state or <br />will be used by DSHS clients after completion of the Contract. <br />Nothing in this section is intended to prescribe the use of particular designs or technologies or to <br />prevent the use of alternative technologies, provided they result in substantially equivalent or greater <br />access to and use of a product /service. <br />(b) Definitions. <br />1. "Accessibility Standards" means the Electronic and Information Resources Accessibility <br />Standards in 1 TAC Chapter 213, and the Web Site Accessibility Standards /Specifications in <br />1 TAC Chapter 206. <br />2. "Electronic and Information Resources" means information resources, including <br />information resources technologies, and any equipment or interconnected system of <br />equipment that is used in the creation, conversion, duplication, or delivery of data or <br />information. The term includes, but is not limited to, telephones and other <br />telecommunications products, information kiosks, transaction machines, Internet websites, <br />multimedia resources, and office equipment, including copy machines and fax machines. <br />3. "Electronic and Information Resources Accessibility Standards means the accessibility <br />standards for electronic and information resources contained in Volume 1 Texas <br />Administrative Code chapter 213. <br />4. "Web Site Accessibility Standards /Specifications" means standards contained in Volume <br />1 Texas Administrative Code Chapter 206. <br />5. "Products" means information resources technologies that are, or are related to, EIR. <br />(c) Accessibility Requirements. Under Texas Government Code Chapter 2054, Subchapter M, <br />and implementing rules of the Department of Information Resources (DIR), DSHS must procure <br />Products that comply with the Accessibility Standards when such Products are available in the <br />commercial marketplace or when such Products are developed in response to a procurement <br />solicitation.
