Section 17.01 Breach of Contract Claim. <br />The process for a breach of contract claim against the Department provided for in Tex. Gov. Code <br />Chapter 2260 and implemented in Department Rules §§ 4.11- 4.24 will be used by DSHS and <br />Contractor to attempt to resolve any breach of contract claim against DSHS. <br />Section 17.02 Notice. <br />Contractor's claims for breach of this Contract that the Parties cannot resolve in the ordinary course <br />of business must be submitted to the negotiation process provided in Tex. Gov Code Chapter 2260, <br />subchapter B. To initiate the process, Contractor shall submit written notice, as required by <br />subchapter B, to DSHS's Office of General Counsel. The notice must specifically state that the <br />provisions of Chapter 2260, subchapter B, are being invoked. A copy of the notice must also be <br />given to all other representatives of DSHS and Contractor. Subchapter B is a condition precedent to <br />the filing of a contested case proceeding under Tex. Gov. Code Chapter 2260, subchapter C. <br />Section 17.03 Sole Remedy. <br />The contested case process provided in Tex. Gov. Code Chapter 2260, subchapter C, is Contractor's <br />sole and exclusive process for seeking a remedy for any and all alleged breaches of contract by DSHS <br />if the Parties are unable to resolve their disputes under this Article. <br />Section 17.04 Condition Precedent to Suit. <br />Compliance with the contested case process provided in Tex. Gov. Code Chapter 2260, subchapter C, <br />is a condition precedent to seeking consent to sue from the Legislature under Tex. Civ. Prac. & Rem. <br />Code Chapter 107. Neither the execution of this Contract by DSHS nor any other conduct of any <br />representative of DSHS relating to this Contract will be considered a waiver of sovereign immunity <br />to suit. <br />Section 17.05 Performance Not Suspended. <br />Neither the occurrence of an event nor the pendency of a claim constitutes grounds for the suspension <br />of performance by Contractor, in whole or in part. <br />ARTICLE XVIII TERMINATION AND TEMPORARY SUSPENSION <br />Section 18.01 Expiration of Contract or Program Attachment(s). <br />Except as provided in the Survivability of Terms section of the General Terms Article, Contractor's <br />service obligations stated in each Program Attachment will end upon the expiration date of that <br />Program Attachment unless extended or renewed by written amendment. Prior to completion of the <br />term of all Program Attachments, all or a part of this Contract may be terminated with or without <br />cause under this Article. <br />General Provisions (Core Subrecipient) 2015 (July 1, 2014) 44 <br />
