a. Change the nature of the business of the Airport as currently conducted; <br />b. Enter into any contract, commitment or transaction on behalf of the City; <br />c. Utilize the assets of the Airport for any purpose other than the continued <br />operation of the Airport; <br />d. Distribute, dispose of, transfer, convey, pledge, mortgage or encumber any of <br />the assets of the Airport; <br />2.0.11 Unless in accordance with a plan approved by the City, Operator shall not act or <br />fail to act in or on the Airport in a manner which is the reasonable judgment of the <br />City: <br />a. Interferes with the reasonable use of the Airport by the public; <br />b. Hinders police, firefighting or other emergency personnel in the discharge of <br />their duties at the Airport; <br />c. Would constitute a hazardous condition; <br />d. Would constitute an illegal purpose or violate any applicable laws, rules or <br />regulations; <br />e. Is not in accordance with this Agreement; <br />f. Degrades the value or appearance of the Airport. <br />ARTICLE 3 <br />SCOPE OF SERVICES <br />The Operator's Basic Services consist of the services described in Sections 3.0 through 3.4 and <br />generally includes administration, operation, management, maintenance, marketing and <br />development of the Airport as a public airport on the City's behalf, the use and benefit of the <br />general public, all tenants, users and stakeholders of the Airport. <br />The Operator has reviewed the City's Approved Operating budget for fiscal year 2014 -2015 and <br />agrees that it is sufficient with which to manage and operate the Airport as required by this <br />Agreement and it fairly compensates Operator for its services under this Agreement. <br />The Operator has inspected the Airport Property including its buildings, structures, <br />improvements, equipment, vehicles, machinery and tools and is aware of the condition of these <br />items and has taken this condition into account in submitting its proposal. The Operator accepts <br />for its use in providing the services under this Agreement all of the Airport Property and <br />equipment in its existing "as -is" condition as of the Effective Date. <br />3.0 AIRPORT ADMINISTRATION <br />General Administration and Management <br />
