ARTICLE 12 NOTICES 12.1 Notices required under this Agreement shall be provided by the parties to one another by certified mail, return receipt requested, or by confirmed facsimile transmission, to the following addresses: To the City: Jared Miller, City Manager City of San Marcos 630 E. Hopkins San Marcos, Texas 78666 To the Engineer: Lance Pettigrew, P.E. - President Schneider Engineer, Ltd, 191 Menger Springs Parkway Boerne, Texas 78006 ARTICLE 13 BASIS OF COMPENSATION 13.1 The City shall compensate the Engineer, in accordance with Article 4, Payments to the Engineer, and the other terms and conditions of this Agreement, as follows: 13.2 The total of all fees and expenses to be paid to the Engineer for Basic Services as described in Article 1 for each three -year term of the Agreement as approved by the City and as evidenced in its issuance of individual Work Authorizations, shall not exceed $2,500,000.00. The Engineer and the City will negotiate the not -to- exceed amount of compensation for inclusion in each individual Work Authorization prior to the City's issuance of same. The City will not compensate the Engineer in excess of the amount indicated in the Work Authorization assigning a particular Project without prior written authorization from the City. 13.3 Compensation for Basic Services and for Additional Services of the Engineer will be computed based on the Engineer's standard hourly rates and expenses as follows. These rates will remain in full force and effect for the initial term of this Agreement and may only be altered with the City's prior approval. Each of the persons executing this Agreement represents that he or she has full power and authority to execute this Agreement on behalf of the party that person represents, and that upon execution this Agreement shall be valid, binding and enforceable in accordance with its terms.
