Section 3.12 Interest on Money. All legally available money respecting a series of <br />Bonds shall be invested in the manner set forth in the Bond Resolution. Any interest earnings on <br />the Bond proceeds may be used to pay principal of and interest on the related series of Bonds or <br />for the payment of any Project Costs or other costs related to the Project approved by the <br />Sponsoring Public Entity for which such Bonds were issued, subject to Section 3.9. <br />Section 3.13 Sale and Offering Document. At the request of the Agency, each of <br />the Sponsoring Public Entities for which a series of Bonds are being issued shall provide to the <br />Agency current and historical information concerning such Sponsoring Public Entity's System, <br />the financial conditions, results, and prospects of the Sponsoring Public Entity, and such other <br />information concerning such Sponsoring Public Entity as the Agency shall deem advisable for <br />inclusion in the Sale and Offering Documents for the series of Bonds of to be issued for such <br />Sponsoring Public Entity, and shall certify to the Agency and the underwriters of any offering of <br />Bonds to be made by means of such Sale and Offering Documents when and if the Sponsoring <br />Public Entity deems such Sale and Offering Documents to be complete and final for purposes of <br />the Rule. Each of the Sponsoring Public Entities represents and warrants that all statements <br />concerning it (including, without limitation, its financial condition, results, and prospects, its <br />System, and any demographic and economic information concerning the area served by its <br />System) that are contained in any Sale and Offering Document approved by the Sponsoring <br />Public Entities pursuant to Section 3.1 hereof shall be true in all material respects and shall not <br />omit to state any material fact necessary to make the statements made in such Sale and Offering <br />Document, in the light of the circumstances in which they are made, not misleading. <br />Section 3.14 Right of SuoaaorinQ Public Entities to Prepay. Each of the <br />Sponsoring Public Entities shall have the right at any time to prepay all or any portion of the <br />Annual Payment Amounts. Subject to the provisions of Section 3.9, such prepaid Annual <br />Payment Amounts shall be used and invested by the Agency as directed by the Sponsoring <br />Public Entity which paid (i) as a credit against future Annual Payment Amount obligations of <br />such Sponsoring Public Entity, (ii) to redeem Bonds issued for such Sponsoring Public Entity <br />pursuant to the provisions of Section 3.4, or (iii) to provide for the defeasance of the Bonds <br />pursuant to the provisions of the Bond Resolution. Any such prepayment will not cause a <br />termination of this Contract until all other amounts owed or to be incurred by the Agency or any <br />other person under the provisions of the Bond Resolution (including the charge for water <br />pursuant to Section 8.5 hereof) have been paid in full or waived by such person. <br />Edon 4.11 Unit of Meaaxrenent. The unit of measurement for water delivered <br />hereunder shall be 1,000 gallons of water, U. S. Standard Liquid Measure. <br />(a) The Agency shall furnish, install, operate and maintain at its own expense for <br />each Delivery Point the necessary electronic or other equipment and devices of standard type for <br />measuring properly the quantity of water delivered under this Contract. Such meter or meters <br />and other equipment so installed shall remain the property of the Agency. The Sponsoring <br />Public Entities shall have access to such metering equipment at all reasonable times, but the <br />reading calibration, and adjustment thereof shall be done only by the employees or agants of the <br />-18-
