except during any period when a check meter may be used under the provisions hereof for <br />measuring the amount of water delivered, in which case the reading, calibration and adjustment <br />thereof shall be made by the Agency with like effect as if such check meter or meters had been <br />furnished or installed by the Agency. <br />ARTICLE V <br />ANNUAL PAYMENT AMOUNTS. SPONSORING PUBLIC ENTITY COVENANTS <br />Section 5.1 Annual Estimate of Annual Payment Amounts. Not less than <br />ninety (90) days prior to the beginning of each Fiscal Year, the Agency shall famish to the <br />Agency Board of Directors, and to each of the Sponsoring Public Entities, a proposed budget that <br />includes an estimate of the Annual Payment Amounts for that Fiscal Year from each Sponsoring <br />Public Entity, and a schedule of the monthly payments required to be paid by each Sponsoring <br />Public Entity in such Fiscal Year. The Annual Payment Amount for each Sponsoring Public <br />Entity shall include the Entity's Bond Payment and the anticipated proportionate share of the <br />Operation and Maintenance Expenses and Overhead Expenses of the Agency. The Agency <br />Board shall review the proposed budget, and after making any adjustments which are reasonable <br />and necessary, shall approve the budget not later than ten (10) days before the beginning of the <br />Fiscal Year. The Agency Board shall ensure that each approved budget includes appropriate <br />amounts for making of all Bond Payments by the Agency. <br />Section 5.2 Payments by the Sponsorine Public Entities. <br />(a) Each of the Sponsoring Public Entities hereby agrees that it will make payment of <br />its Bond Payment, to the extent the Agency issues a series of Bonds for such Sponsoring Public <br />Entity, and its proportionate share of the Operation and Maintenance Expenses and Overhead <br />Expenses to the Agency, or to the Trustee on behalf of the Agency, as provided in the Bond <br />Resolution, and in accordance with the procedures established in Section 3.6 hereof. If a <br />Sponsoring Public Entity at any time disputes the amount to be paid by it to the Agency, such <br />Sponsoring Public Entity shall nevertheless promptly make such payment or payments, but if it <br />is subsequently determined by agreement or court decision that such disputed payments made by <br />the Sponsoring Public Entity should have been less, or more, the Agency shall promptly revise <br />the charges for such Sponsoring Public Entity in such manner that the Sponsoring Public Entity <br />will recover its overpayment or the Agency will recover the amount due it. The Agency shall <br />pursue all legal remedies against the Sponsoring Public Entities to enforce and protect the rights <br />of the Agency and the owners of the Bonds, and the Sponsoring Public Entities shall not be <br />relieved of the liability to the Agency for the payment of all amounts which are due by them <br />hereunder. <br />(b) Except to the extent otherwise provided by the Bond Resolution, all amounts due <br />under this Contract shall be paid and are due in Hays County, Texas, which is the County in <br />which the principal administrative offices of the Agency are located. <br />(c) The Agency shall redetermine the estimate and schedule of Annual Payment <br />Amounts due in any Fiscal Year at any time during such Fiscal Year, as and to the extent deemed <br />necessary or advisable by the Agency to accurately forecast the Annual Payment Amounts and <br />the dates of payments to be made by each of the Sponsoring Public Entities, if (i) the Agency <br />issues Bonds to complete the Project or to refinul any Bonds or enters into, amends, or terminates <br />a Credit Agreement, (ii) actual interest rates on any variable interest rate Ekm& differ from those <br />-20-
