Section 53 Source of Payment. <br />(a) Each of the Sponsoring Public Entities represents and covenants that all payments <br />to be made by them under this Contract shall constitute reasonable and necessary "operating <br />expenses," as defined in Chapter 1502, as amended, Texas Goverment Code, of its System, but <br />only to the extent of the Annual Payment Amount. A Sponsoring Public Entity shall not be <br />obligated to make its payments under this Contract from any source other than the gross <br />revenues of its System. Each of the Sponsoring Public Entities further represents that its <br />Governing Body has determined that the services to be provided by the Project are absolutely <br />necessary and essential to provide water to that Sponsoring Public Entity. <br />(b) Each of the Sponsoring Public Entities agrees throughout the term of this Contract <br />to fix and collect such rates and charges for services to be supplied by its System as will produce <br />gross revenues at all times during the term of this Contract in an amount at least equal to (i) all of <br />the expenses of operation and maintenance of the Sponsoring Public Entity's System, including <br />specifically its payments under this Contract and (ii) all other amounts as required by law and the <br />provisions of the ordinances or resolutions authorizing the Sponsoring Public Entity's Utility <br />Bonds or other obligations now or hereafter outstanding payable, in whole or in part, from the <br />net revenues of the Sponsoring Public Entity's System, including the amounts required to pay all <br />principal of and interest on such Sponsoring Public Entity's Utility Bonds and other obligations. <br />(c) No ad valorem tax revenues of any of the Sponsoring Public Entities shall be <br />pledged to the payment of any amounts to be paid by the Sponsoring Public Entities to the <br />Agency under this Contract, nor shall the Agency have the right to demand payment of any <br />amounts to be paid by the Sponsoring Public Entities under this Contract be paid from funds <br />raised or to be raised from ad valorem taxation from the Sponsoring Public Entities. The <br />obligations under this Contract shall never be construed to be a debt or pecuniary obligation of <br />any of the Sponsoring Public Entities of such kind as to require any of the Sponsoring Public <br />Entities to levy and collect an ad valorem tax to discharge their obligations. <br />Section 5,4 Agency's Oueration and Maintenance Expenses and Overhead <br />Expenses. To the extent not paid out of the proceeds of the Bonds, or otherwise, each of the <br />Sponsoring Public Entities shall pay and reimburse the Agency for all of its proportionate share <br />of Operation and Maintenance Expenses and Overhead Expenses incurred by the Agency <br />throughout the term of this Contract within thirty (30) days of receipt of documentation therefor <br />from the Agency. The Sponsoring Public Entities also agree, with the consent of the Agency, to <br />enter into an interlocal agreement among themselves and with the Agency to provide for, among <br />other matters, an annual adjustment of the Operation and Maintenance Expenses and Overhead <br />Expenses paid by each Sponsoring Public Entity based upon certain formulas and taking into <br />account the quantity of water actually utilized by each Sponsoring Public Entity. <br />Seefign .5 Annngl BBudgebing by the Sponsoring P_ubik E?Entitie& Each <br />Sponsoring Public Entity shall make provision in its annual budgets and shall appropriate an <br />amount sufficient, at a minimum, for the payment of all amounts required to be paid by the <br />Sponsoring Public Entity from the sources specified under this Contract. <br />SeWo i 5.6 Revenue Sources Pledeed. Each of the Sponsoring Public Entities <br />hereby pledges the gross revenues of its System to the payment of its obligations under this <br />Contract, and recognizes that the Agency will, and authorizes the Agency to, pledge the Annual <br />Payment Amounts owing to the Agency by the Sponsoring Public Entities under this Contract to <br />-22-
