to most efficiently and quickly obtain the capability to deliver the water to the Sponsoring Public <br />Entities; and <br />WHEREAS, it is necessary that facilities, wells, storage tanks, lines, booster pumps, <br />treatment facilities, and other appurtenances sufficient to deliver the water to which the <br />Sponsoring Public Entities are entitled under this Contract and additional water which the <br />Sponsoring Public Entities may acquire (the "Facilities') be constructed and that the easements, <br />rights-of-way, and other interests in land necessary for the production, withdrawal or diversion <br />of and the acquisition, construction, maintenance, and operation of the Facilities (collectively, <br />the "Land Interests") be purchased (the "Land Interests" and the "Facilities," together the <br />"Project"); and <br />WHEREAS, it is expected by the Agency and the Sponsoring Public Entities that as <br />soon as practicable after the execution of this Contract the Agency will issue its Bonds (as <br />hereinafter defined) in series for each Sponsoring Public Entity requesting financing through the <br />Agency, payable from and secured solely by payments under this Contract to be made by such <br />Sponsoring Public Entity for which the series of Bonds are issued for the acquisition and <br />construction of the Project, and <br />WHEREAS, the Agency, to the best of its ability, shall in general do or cause to be done <br />all such things as may be required for the proper acquisition, construction and operation of the <br />Project; and <br />NOW, THEREFORE, in consideration of the mutual covenants and agreements herein <br />contained, the sufficiency of which are hereby acknowledged, and upon and subject to the terms <br />and conditions hereinafter set forth, the Sponsoring Public Entities and the Agency mutually <br />undertake, promise, and agree as follows: <br />ARTICLE I <br />DEFINITIONS AND INTERPRETATIONS <br />kGrum 1.1 IfizW9n& In addition to the terms defined above, the following <br />terms shall have the meanings assigned to them below wherever they are used in this Contract, <br />unless the context clearly requires otherwise: <br />(a) "Accountant" means a nationally recognized independent certified public <br />accountant, or an independent firm of certified public accountants, selected by the Agency. <br />(b) "Additional Bonds" means one or more series of additional Bonds which are <br />issued by the Agency to finance the completion of the Project pursuant to Section 2.9 hereof or <br />for any other lawful purpose. <br />(c) "Agency" means the Hays Caldwell Public Utility Agency and its lawful <br />successors and assigns. <br />(d) "Annual Payment Amounts" means the amount of money, constituting the <br />Operation and Maintenance Expenses, Overhead Expenses and, to the extent the Agency issues a <br />series of Bonds on behalf of a Sponsoring Public Entity, the Bond Payment, to be pwit+ to the, <br />Agency by each Sponsoring Public Entity, on a several and not a joint basis as described in <br />-Z-
