ARTICLE 8. MISCELLANEOUS <br />Section 8.01. Entire Agreement. This Agreement, including the Recitals and the <br />Exhibits hereto, contains the entire agreement between the Parties with respect to the transactions <br />contemplated herein and supersedes any prior understandings or written or oral agreements <br />between the Parties. <br />Section 8.02. Amendments. This Agreement may only be amended, altered, or <br />terminated by written instrument signed by all Parties. <br />Section 8.03. Assignment; Successors. Owner may assign this Agreement in whole or <br />in part only with the advance written consent of the City. <br />Section 8.04. Notices.
