<br />9.3 Sanctions. In addition to financial hold, the OAG, at its sole discretion, may impose other
<br />sanctions without first requiring a corrective action plan. The OAG, at its sole discretion, may
<br />impose sanctions, including, but not limited to, withhold or suspend funding, offset previous
<br />reimbursements, require repayment, disallow claims for reimbursement, reduce funding, terminate
<br />this contract and/or any other appropriate sanction.
<br />9.4 No Waiver. Notwithstanding the imposition of corrective actions, financial hold and/or
<br />sanctions, GRANTEE remains responsible for complying with the contract terms and conditions.
<br />Corrective action plans, financial hold and/or sanctions do not excuse or operate as a waiver of prior
<br />failure to comply with this contract.
<br />SECTION 10 GENERAL TERMS AND CONDITIONS
<br />10.1 Federal and State Laws, Rules and Regulations, Directives, Guidelines, OMBs and
<br />Other Relevant Authorities. GRANTEE agrees to comply with all applicable federal and state
<br />laws, rules and regulations, directives, guidelines, OMB circulars, or any other authorities relevant to
<br />the performance of GRANTEE under this contract.
<br />10.2 Uniform Grant Management Act, UGMS and Applicable Standard Federal and State
<br />Certifications and Assurances. GRANTEE agrees to comply with applicable laws, executive
<br />orders, regulations and policies as well as the Uniform Grant Management Act of 1981 (UGMA),
<br />Texas Government Code, Chapter, 783, as amended, GRANTEE agrees to comply with Uniform
<br />Grant Management Standards (UGMS), as promulgated by the Governor's Budget and Planning
<br />Office. GRANTEE agrees to comply with the applicable Office of Management and Budget (OMB)
<br />Circulars A-21, A-87 or A-122 relating to cost principles; OMB Circular 1-110 relating to
<br />administrative Requirements; and OMB Circular 1-133 relating to audit requirements. GRANTEE
<br />also shall comply with all applicable federal and state assurances contained in UGMS, Part IIl, State
<br />Uniform Administrative Requirements for Grants and Cooperative Agreements, Subpart A, _14,
<br />State Assurances. Further, GRANTEE agrees to comply with the applicable OAG Certifications and
<br />Assurances, as contained in the Application Kit, including, but not limited to, the equal employment
<br />opportunity program certification, disclosure and certification regarding lobbying, non-procurement
<br />debarment certification, drug-free workplace certification, annual single audit certification,
<br />compliance with annual independent financial audit filing requirement, compliance with UGMS and
<br />the applicable OMB circulars, return of grant funds in the event of loss or misuse, and conflict of
<br />interest.
<br />10.3 Generally Accepted Accounting Principles or Other Recognized Accounting Principles.
<br />GRANTEE shall adhere to Generally Accepted Accounting Principles (GAAP) promulgated by the
<br />American Institute of Certified Public Accountants, unless other recognized accounting principles
<br />are required by GRANTEE, and follow OAG fiscal management policies and procedures in
