City of San Marcos/ Guadalupe- t3lanco River Authority Service Contract <br />Water Treatment Facilities Article XII - Insurance, Uncontrollable Circumstances and <br />Indemnification <br />(B) Notice and Mitigation. The party that asserts the occurrence of an <br />Uncontrollable Circumstance shall notify the other party by telephone or facsimile, on or <br />promptly after the date the party experiencing such Uncontrollable Circumstance first knew of <br />the occurrence thereof, followed within 15 days by a written description of: (1) the <br />Uncontrollable Circumstance and the causes thereof (to the extent known); and (2) the date the <br />Uncontrollable Circumstance began, its estimated duration, and the estimated time during <br />which the performance of such party's obligations hereunder shall be delayed, or otherwise <br />affected. As soon as practicable after the occurrence of an Uncontrollable Circumstance, the <br />affected party shall also provide the other party with a description of. (1) the amount, if any, by <br />which the Service Fee is proposed to be adjusted as a result of such Uncontrollable <br />Circumstance; (2) any areas where costs might be reduced and the approximate amount of <br />such cost reductions; and (3) its estimated impact on the other obligations of such party under <br />this Service Contract. The affected party shall also provide prompt written notice of the <br />cessation of such Uncontrollable Circumstance. Whenever an Uncontrollable Circumstance <br />occurs, the party claiming to be adversely affected thereby shall, as promptly as practicable, <br />use all reasonable efforts to eliminate the cause thereof, reduce costs resulting therefrom, <br />mitigate and limit damage to the other party, and resume full performance under this Service <br />Contract. While the Uncontrollable Circumstance continues, the affected party shall give <br />notice to the other party, before the first day of each succeeding month, updating the <br />information previously submitted. The party claiming to be adversely affected by an <br />Uncontrollable Circumstance shall bear the burden of proof, and shall furnish promptly any <br />additional documents or other information relating to the Uncontrollable Circumstance <br />reasonably requested by the other party. <br />(C) Conditions to Performance, Service Fee and Schedule Relief. If and to <br />the extent that Uncontrollable Circumstances interfere with, delay or increase the cost of the <br />Authority's performing the Contract Services in accordance herewith, the Authority shall be <br />entitled to relief from its performance obligations, an increase in the Service Fee, or an <br />extension of schedule which properly reflects the interference with performance, the amount of <br />the increased cost, or the time lost as a result thereof, in each case only to the minimum extent <br />reasonably forced on the Authority by the event, and the Authority shall perform all other <br />Contract Services. The proceeds of any Required Insurance available to meet any such <br />increased cost shall be applied to such purpose prior to any determination of cost increase <br />payable by the City under this Section. Any cost reduction achieved through the mitigating <br />measures undertaken by the Authority pursuant to subsection (B) of this Section upon the <br />occurrence of an Uncontrollable Circumstance shall be reflected in a reduction of the amount <br />by which the Service Fee would have otherwise been increased or shall serve to reduce the <br />Service Fee to reflect such mitigation measures, as applicable.
