impair an unbiased performance of the consulting services or other duties under this <br />engagement. Should an issue arise that may become a conflict, The Normandy Group will <br />keep the City apprised of steps it will take to work with the entities involved and provide <br />recommendations to best resolve the conflict or issue. <br />4. City's Responsibilities <br />a) The City will provide information to Normandy regarding the City's requirements for <br />Normandy's services under this Agreement. <br />b) The City will designate an authorized representative to act on the City's behalf with <br />respect to this Agreement. The City will evaluate documents and information submitted by <br />Normandy, and provide appropriate responses to Normandy on issues requiring a decision <br />or approval by the City. <br />5. Term; Termination of Agreement <br />a) The term of this Agreement begins on the Effective Date and will end September 30, <br />2017. <br />b) This Agreement may be terminated for any reason by the City upon at least 60 days prior <br />written notice to Normandy. <br />c) In the event of termination as provided in this section, Normandy will be compensated <br />for all services performed through the termination date which are deemed by the City to <br />be in accordance with this Agreement. <br />6. Miscellaneous Provisions <br />a. This Agreement is governed by the law of the State of Texas. Exclusive venue for any <br />dispute arising under this Agreement is in Hays County, Texas <br />b. Normandy hereby affirms that it has not made or agreed to make any valuable gift <br />whether in the form of service, loan, thing, or promise to any person or any of his/her <br />immediate family, having the duty to recommend the right to vote upon, or any other <br />direct influence on the hiring of consultants to provide the Services to the City. A <br />campaign contribution, as defined by the Texas Election Code or the San Marcos City <br />Code will not be considered as a valuable gift for the purposes of this Agreement. <br />c. In performing the Services, Normandy will not discriminate against any person on the <br />basis of race, color, religion, sex, national origin, age or disability. <br />d. Should any provision in this Agreement be found or deemed to be invalid, this <br />Agreement will be construed as not containing the provision, and all other provisions <br />which are otherwise lawful, will remain in full force and effect, and to this end the <br />provisions of this Agreement are declared to be severable. <br />
