C7A TASER P R O T E C T L I F E change, the compensation for which exceeds $50,000.00. 15.18 Patent Fees and Royalties. If applicable, the TASER will pay all license fees, royalties, and other costs incident to the use of any invention, design, process, product or device subject to a patent right or copyright held by others in performing the work or in the completed project. 15.19 Smoking Prohibited. TASER'S attention is called to the fact that pursuant to San Marcos Ordinance No. 2013 -57, as amended, all City of San Marcos owned and rented /leased properties are smoke free properties. All contractors, their subconsultants and employees are prohibited from smoking while on City property. This prohibition includes the enclosed areas of public places and workplaces and within 10 feet of doors and windows of City -owned or rented buildings, all City parks and the grounds outside of any City building. This prohibition includes e- cigarettes and other inhaled vapor devices. The City may terminate this Agreement for noncompliance with this ordinance. 15.20 "Green" Procurement. It is the City's intent to be proactive with regard to the environment. The City encourages "Value Purchasing" of environmentally friendly products. TASER is encouraged to identify and utilize green solutions in performing any services under the Agreement, as appropriate. 15.21 Contract Documents and Order of Precedence. Any exhibits, attachments and appendices attached to or referenced by the Agreement are incorporated by reference into the Agreement as though included verbatim herein. This Agreement includes the following attachments /exhibits: Attachment A- Evidence.com Terms of Use Attachment B- Professional Services Attachment C -TASER Assurance Plan Attachment D- Service Level Agreement Attachment E -Axon Integration Services Attachment F -Cost Proposal Form and TASER quote Attachment G- Authorization of Change in Service Form Exhibit 1 - City Request for Proposals (not attached to the Agreement in full but considered included and pertinent to the Agreement for all intents and purposes) Exhibit 2 - TASER Proposal (not attached to the Agreement in full but considered included and pertinent to the Agreement for all intents and purposes) In the event of conflict between any of the portions of this Agreement, including Attachments and Exhibits hereto, the following order of precedence will apply and both parties agree to adhere to this order: 1) Attachment F 2) Exhibit 1 3) Exhibit 23 15.22 Counterparts. If this Agreement form requires the signatures of the Parties, then this Agreement may be executed by certified electronic signature in multiple counterparts, each of which is considered an original.
