EXHIBIT A NOTICE OF DEFEASANCE AND REDEMPTION To the Holders of the CITY OF SAN MARCOS,TEXAS WATERWORKS AND WASTE WATER SYSTEM REVENUE BONDS,SERIES 2006 (Maturing on August 15 in the years 2031 and 2036) NOTICE IS HEREBY GIVEN that the CITY OF SAN MARCOS,TEXAS, in Hays County,Texas(the "City"), has caused to be deposited cash into an irrevocable Escrow Fund in order to pay, and has legally defeased, all of the City's outstanding WATERWORKS AND WASTE WATER SYSTEM REVENUE BONDS,SERIES 2006,maturing on August 15 in the years 2031 and 2036(the "Outstanding Series 2006 Bonds"),which are further described below: CITY OF SAN MARCOS,TEXAS WATERWORKS AND WASTE WATER SYSTEM REVENUE BONDS,SERIES 2006 STATED MATURITY PRINCIPAL AMOUNT PRINCIPAL AMOUNT INTEREST RATE CUSIP No. (AUG.15) MATURING IN YEAR($) TO BE REFUNDED($) (%) (798809) 2031 385,000 385.000 4.750 LE7 *** *** *** *** *** 2036 2,230,000 2,230,000 4.800 GR4 Notice is further given that the Outstanding Series 2006 Bonds have been called for redemption at par on ,2016 (the "Redemption Date")at the Redemption Price equal to 100%of par plus accrued interest to the Redemption Date. Such Outstanding Series 2006 Bonds shall be redeemed and shall become due and payable on the Redemption Date,and the interest thereon shall cease to accrue from and after the Redemption Date. Due and proper arrangements have been made for providing J.P.Morgan Chase Bank,N.A.,the Paying Agent for the Outstanding Series 2006 Bonds,with funds sufficient to pay the redemption price of the Outstanding Series 2006 Bonds on the scheduled Redemption Date. To avoid a backup withholding tax required by Section 3406 of the Internal Revenue Code of 1986, holders must submit a properly completed IRS Form W-9. * THE ABOVE REFERENCED CUSIP NUMBERS ARE PROVIDED FOR THE CONVENIENCE OF THE HOLDERS.
