(t 1�1)Dl'iitlh:it � ?l•`t'I�iI[tt)�iy <br />In addition to the definitions provided ill the license <br />Agreement, the following definitions apply to this <br />Agreement: <br />"Deploy ", "Deployed" and "Deployment" mean to <br />redistribute and install the Products and related <br />Authorization Codes within Licensee's organization(s). <br />"Fee" means the tee set berth in the (Quotation. <br />"Incident" means a failure of the Sollware or Online <br />Services to operate according to the Documentation <br />where such firilure substantially impacts operational or <br />functional peribi- manse. <br />"License Agreement" means (i) the applicable license <br />agreement incorporated by this reference that is Ibu nd at <br />Iiltq�: i/ wWw .l:hl1.00111 /h�P�Eli�iitl��.uc •licl uti��; composed of <br />the ( icneral I icense Terms and Conditions (120 4) and <br />[-'xlnibit 1, Scope ol'l Ise (F300); and available in the <br />installation process requiring acceptance by electronic <br />ackuowledgnncnt or (ii) a signed license agreement <br />between tine parties that supersedes such electronically <br />acknowledged license agreenent. <br />"Maintenance" ncaus Ticr 2 Suppont, Product updates, <br />and Product patches provided to 1 icensee during the term <br />ol'this Agreement. <br />"Product(s)" mans the products identified in'I able A <br />I ist ofl'roduck and any updates to the list l-sri provides <br />in writing. <br />"Quotation" means the utter letter and quotation <br />provided separately to I icensee. <br />"'Technical Support" urcans the technical assistance lire <br />attempting resolution of a reported Incident through error <br />correction, patches, hot fixes, workaround~, replacement <br />deliveries, or any other type of Product corrections or <br />modi 1 ications. <br />"Tier I help Desk" uncuns Licensee's point of conntact(s) <br />to provide all I ier I Support within I icernsce's <br />orgauizatic ln(s ). <br />"'Pier I Support" means tine 1 eclulical Support provided <br />by the Tier l Help Desk. <br />"Tier 2 Support" means the Technical Support provided <br />to the'l ier I [lelp Desk when an Incident cannot be <br />resolved through 'l ier 1 Support. Subject to the terms and <br />conditions of this Agreement, Esri grants to Licensee <br />a personal, nonexclusive, nontransferable license <br />solely to use, copy, and Deploy quantities of the <br />Products listed in Table A —List of Products for the <br />term provided on the first page (i) for the applicable <br />Fee and (ii) in accordance with the I icense <br />Agreement. <br />�.1 Consultant Access. Fsri grants t icensee the right to <br />permit Licensee's consultants or contractors to use the <br />Products exclusively lbr Licensee's benefit. Licensee <br />will he solely responsible Ibr compliance by <br />consultants and contractors with this Agrecnncnt and <br />Will ensure that the consultant or contractor <br />discontinues use of Products upon completion of <br />work lbr l icensee.
