Party Cost Share Cost Share <br />. . .... . .... <br />Kyle 10,000 2,3.9 <br />San Marcos 10,00o 23.9 <br />I-ICPUA 21,880 52.2 <br />Total 41,880 100 <br />Kyle and San Marcos each agree to pay their cost share, amounts in the table above to the HCPUA <br />within 15 days of receipt of an invoice from the I-lCPtJA. The HCPUA agrees to use its funds and <br />,funds provided by Kyle and San Marcos under this Agreement solely to pay the Consultant for the <br />performance of the Study. If the total of the funds contributed by the Parties exceeds the actual <br />cost of the Study, the HCPUA agrees to make a pro rata refund to Kyle and to Sail Marcos within <br />30 days of the date the IJCPUA makes final payment to the Consultant. The, HCPUA may agree <br />with the Consultant to an increase in the cost of the Study only with the written approval of Kyle <br />and San Marcos. If such an increase is agreed to, Kyle and San Marcos each agree to pay the <br />increase in their respective cost share amounts to the IICPUA within 30 days of receipt of an <br />invoice from the HCPUA. <br />5. Ownership, Use and Retention of Information. All information provided by the <br />Consultant to the HCP1JA in connection with the Study will be the property of each of the Parties, <br />whether or not any project related to the Study is executed. The HCPUA will make all such <br />information available to Kyle and San Marcos. The Parties agree that such information is not <br />intended or represented to be suitable for reuse for any project by any of the Parties. Any such <br />reuse by a Party without written verification or adaptation by the Consultant will be at the <br />respective Party's sole risk and without liability to the Consultant or the other Parties. HCPUA <br />will ensure that the Consultant retains its records and supporting information related to the Study <br />for a period of three years. <br />6. Payments from Current Revenues. Each Party agrees that its funds to be contributed <br />under this Agreement will be from current revenues available to that Party. Each Party agrees that <br />it will be fairly compensated for the services or functions the Party performs under this Agreement. <br />7. Entire Agreement; Amendments, This is the entire agreement of the Parties on this <br />subject. Any amendment to this Agreement must be in writing and executed by all of the Parties. <br />8. Term. This Agreement will take effiect on the date of the last signature below, and it <br />will terminate upon completion of the Study by the Consultant and final payment of the Consultant <br />by the HCPUA. <br />IN WITNESS WHEREOF, the Parties have executed this Agreement on the dates stated <br />below. <br />[Signatures on following Pagel <br />N <br />
