ADDEM11111i (TEXAS) <br />THIS ADDENDUM, which is entered into as of June 7, 2017 between U.S. Bank Equipment Finanma, a division of U.G. Bank National <br />Association ("Lessor") and City of San Marcos (^Leoaae^), is intended to modify and supplement the Master Tax -Exempt Lease/Purchase <br />Agreement, dated as of June 7, 2017, between Lessor and Lessee (the "Master Agreement"), and is intended to modify and supplement <br />Property Schedule No. 1 (the "Property Schedule") to the Master Agreement of even date herewith. Capitalized terms not otherwise <br />defined herein shall have the meanings set forth inthe Master Agreement. <br />The Master Agreement isamended Uzdelete Section 0.O5. <br />2 Lessor and Lessee agree that lease participation certificates in any Property Schedule shall not be issued without the <br />approval of the Texas Attorney General. <br />3. Lessee represents and warrants pursuant to Texas Government Code Section 2252.908 and Texas Administrative Code Chapter <br />46 the following (select one of the applicable): <br />Lessee has received the required "disclosure of interested parties" from Lessor that was submitted by Lessor tothe <br />Texas State Ethics Commission. <br />_XThe Property Schedule isfor less than $1.00OOOUand the following applies: k$the governing body ofLessee has legal <br />authority to delegate to its staff the authority to execute the Property Schedule; (b) the governing body of the Lessee <br />has delegated 10its staff the authority koexecute the Property Schedu��and (c) the governing body ofthe Lessee did <br />not participate in the selection of the business entity with which the Property Schedule is entered into. <br />4. The following shall beincluded inthe Opinion o/Lessee's Counsel provided toLessor for the Property Schedule: <br />9.
