"SAP Consultant" means Development Planning & Financing Group, Inc. <br />"Segment" or "Segments" means the discrete portions of the Public Improvements <br />identified as such. <br />"Service and Assessment Plan" or "SAP" or "Assessment Plan" means the Whisper <br />Public Improvement District Service and Assessment Plan, a draft of which is attached hereto as <br />Exhibit "C", (as such plan is amended, supplemented and updated from time to time) approved <br />by the City Council in the first Assessment Ordinance. <br />"Special Assessments" means the assessments levied against properties in the District, as <br />provided for in the applicable Assessment Ordinance and in the Service and Assessment Plan, <br />including any supplemental assessments or reallocation of assessments levied in accordance with <br />Sections 372.019 and 372.020 of the PID Act. <br />"Special Assessment Revenues" means money collected by or on behalf of the City <br />from any one or more of the following: (i) a Special Assessment levied against an Assessed <br />Property, or Annual Installment payment thereof, including any interest on such Special <br />Assessment or Annual Installment thereof during any period of delinquency, (ii) a Prepayment, <br />(iii) Delinquent Collection Costs (as defined in the Indenture), and (iv) Foreclosure Proceeds (as <br />defined in the Indenture). <br />"State" means the State of Texas. <br />"Tax Certificate" shall have the meaning given in Section 6.02(a) hereof <br />"Tax Code" means the Internal Revenue Code of 1986, as amended, or may be amended <br />or replaced in the future including applicable regulations, published rulings and court decisions. <br />"Transfer" shall have the meaning given in Section 2.05(b) hereof <br />"Transferee" shall have the meaning given in Section 2.05(b) hereof <br />"Trustee" means the trustee under the Indenture, and any successor thereto permitted <br />under such Indenture and any other Trustee under a future Indenture. <br />"Underwriter" means FMSBonds, Inc. or other qualified underwriter reasonably <br />acceptable to the District, City, and Owners. <br />"Unpaid Balance" shall have the meaning given in the applicable Acquisition and <br />Reimbursement Agreement. <br />"Whisper MC" means Whisper Master Community Limited Partnership, a Texas limited <br />partnership. <br />"Yarrington Partners" means Yarrington Partners, Ltd., a Texas limited partnership. <br />31 <br />WHISPER PID FINANCING AGREEMENT <br />
