Exhibit "F" <br />FORM OF CLOSING DISBURSEMENT REQUEST <br />The undersigned is a lawfully authorized representative for Whisper Master Community Limited <br />Partnership, a Texas limited partnership (the "Owner"), and requests payment from the Costs of <br />Issuance Account of the Project Fund (as defined in the Whisper Public Improvement District <br />Financing Agreement) from (the "Trustee") in the amount of <br />($_ ) to be transferred from the [Cost of Issuance <br />Account of the Project Fund] upon the delivery of the F Bonds] for costs incurred in the <br />establishment, administration, and operation of the Whisper Public Improvement District (the <br />"District"), as follows: <br />In connection to the above -referenced payment, the Owner represents and warrants to the City as <br />follows: <br />1. The undersigned is a duly authorized officer of the Owner, is qualified to execute <br />this Closing Disbursement Request on behalf of the Owner, and is knowledgeable as to the <br />matters set forth herein. <br />2. The payment requested for the below referenced establishment, administration, <br />and operation of the District at the time of the delivery of the Bonds has not been the subject of <br />any prior payment request submitted to the City. <br />3. The amount listed for the below itemized costs is a true and accurate <br />representation of the Actual Costs incurred by Owner with the establishment of the District at the <br />time of the delivery of the Bonds, and such costs are in compliance with the Service and <br />Assessment Plan. The itemized costs are as follows: <br />[insert itemized list of costs here] <br />TOTAL REQUESTED: $ <br />4. The Owner is in compliance with the terms and provisions of the Whisper Public <br />Improvement District Financing Agreement, the Indenture and the Service and Assessment Plan, <br />5. All conditions set forth in the Indenture and [the Acquisition and Reimbursement <br />Agreement for I for the payment hereby requested have been satisfied. <br />6.
