"DTC" means The Depository Trust Company of New York, New York, or any successor <br /> securities depository. <br /> "DTC Participant" means any broker, dealer, bank, trust company, clearing corporation or <br /> certain other organizations with Certificates credited to an account maintained on its behalf by DTC. <br /> "Event of Default"means any Event of Default as defined in Section 10.01 of this Ordinance. <br /> "Federal Securities"as used herein means direct,noncallable obligations of the United States <br /> of America, including obligations that are unconditionally guaranteed by the United States of <br /> America (including Interest Strips of the Resolution Funding Corporation). <br /> "Initial Certificate" means the Certificate described in Section 3.04(d) and 6.02(d). <br /> "Interest and Sinking Fund" means the interest and sinking fund established by Section <br /> 8.01(a) of this Ordinance. <br /> "Interest Payment Date" means the date or dates upon which interest on the Certificates is <br /> scheduled to be paid until the maturity of the Certificates, such dates being February 15 and August <br /> 15 of each year commencing February 15, 2018. <br /> "MSRB" means the Municipal Securities Rulemaking Board. <br /> "Ordinance" means this Ordinance. <br /> "Owner" means the person who is the registered owner of a Certificate or Certificates, as <br /> shown in the Register. <br /> "Paying Agent/Registrar"means Regions Bank,Houston,Texas,any successor thereto or an <br /> entity which is appointed as and assumes the duties of paying agent/registrar as provided in this <br /> Ordinance. <br /> "Purchaser" means the person, firm or entity initially purchasing the Certificates from the <br /> City and which is designated in Section 7.01 of this Ordinance. <br /> "Record Date"means the last business day of the month next preceding an Interest Payment <br /> Date. <br /> "Register" means the Register specified in Section 3.06(a) of this Ordinance. <br /> "Representation Letter" means the Blanket Issuer Letter of Representations with respect to <br /> the Certificates and other obligations of the City, between the City and DTC. <br /> "Rule" means SEC Rule 15c2-12, as amended from time to time. <br /> "SEC" means the United States Securities and Exchange Commission. <br /> San Marcos CTRCO 2017:Ordinance 3 <br />
