I I "Designated PaymentfTransfer Office" means (i) Wlth respect to the 1mtIal Paymg Agent/RegIstrar named herem, Its corporate trust office m Dallas, Texas, and (ii) w1th respect to any successor Paymg Agent/Reg1strar, the office of such successor des1gnated and located as may be agreed upon by the City and such successor "Event of Default" means any Event of Default as defined in Section II 0 I of this Ordmance "F1SCal Year" means twelve months' penod beg1nnmg October I of each year and end 109 September 30 of the succeedmg year. "Imhal Bond" means the Bond described m SectlOn 3 04(d) and 6 02(d) "Interest and Smkmg Fund" means the lllterest and Sinklllg fWld establIshed by SectlOn 8 OI(b) ofth1s Ordmance. "Interest Payment Date" means the date or dates upon wmch mterest on the Bonds IS scheduled to be paid until the maturIty of the Bonds, such dates belOg February IS and August 15 of each year commenclOg August 15, 1998 "Net Revenues" means the gross revenues of the System less the expense of operation and mamtenance, mcludlllg all salanes, labor, matenals, repa1rs and extensions necessary to render effic1ent serv1ce, prov1ded, however, that only such repairs and extensions as m the judgment of the CIty Councll, reasonably and f31rly exerc1sed, are necessary to keep the System m operatlOn and render adequate serv1ce to the C1ty and the mhabitants thereof, or such as might be necessary to meet some phYSIcal accident or condItlOn whIch would othefWlse 1mparr the secur1ty of any spec1al obbgatlOns payable from and secured by a hen on the net revenues of the System shall be deducted III determlOlOg "Net Revenues" "Ordmance" means th1S Ordinance "Ongmal Issue Date" means the date ofthe Bonds des1gnated 1nn Section 3 02(a) of th1S Ordmance "Owner" means the person who IS the registered owner of a Bond or Bonds, as shown m the RegIster "Panty Revenue OblIgatlOns" means the PrevlOusly Issued Par1ty Obligahons, Bonds and Additional Panty Obbgations. "Paymg Agent/Registrar" means Texas Commerce Bank NatIonal ASSOCIatIOn, any successor thereto or an entIty whIch IS appolllted as and assumes the duhes of paYIng agent/regIstrar as provIded m thIS OrdInance "PrevlOusly Issued Panty ObhgatlOns" means the outstandlllg bonds of the follOWIng 1ssues: City of San Marcos, Texas, Waterworks and Sewer System Revenue Refundmg and Improvement Bonds, Sencs 1995, C1ty of San Marcos, Texas, Waterworks and Sewer System Revenue Bonds, Senes 1995, R:\SA..~'MAR\ ww SS.97IDOCSIORDNCE 2
