EXHIBIT "D" <br />MEMORANDUM OF LEASE AND OPTION <br />For and in consideration of the sum of $10.00 and other valuable consideration, the <br />receipt and sufficiency of which are hereby acknowledged, by the parties hereto, THE TRUST <br />FOR PUBLIC LAND, a charitable nonprofit California corporation, whose address is 306 North <br />Monroe Street, Tallahassee, Florida, 32301 (hereinafter referred to as the "Lessor" or "Seller"), <br />hereby grants to the City of San Marcos, Texas ("City"), (hereinafter referred to as the "Lessee," <br />or "Buyer") the sole, exclusive and irrevocable option to purchase that certain real property and <br />appurtenances thereto, comprising a total of 102.17 acres in Hays County, Texas, described more <br />fully in EXHIBIT "A" attached hereto and by this reference made a part hereof. The option herein <br />granted extends from the date hereof through 12:00 midnight on the day prior to the end of <br />the lease term. The full text of the option granted may be found in a certain Lease -Purchase <br />Agreement between Lessor and Lessee of even date herein.
