REV 9 29 17 <br />ARTICLE 14 <br />PROFESSIONAL FIRM'S COMPENSATION <br />The Professional Firm's compensation for Professional Firm's Services shall be as follows: <br />Service Fees: The maximum fee for Professional Firm's Services shall not exceed Three - <br />hundred forty-four thousand and five hundred twenty dollars ($344,520.00). <br />Reimbursable Expenses: For Reimbursable Expenses approved by the Owner (ref. Section 9 and <br />Exhibit 3), Professional Firm shall be compensated for the actual expense incurred by Professional Firm. <br />Notwithstanding the foregoing, Owner's payment to Professional Firm for Reimbursable Expenses will not <br />exceed a maximum of amount agreed upon in this Agreement and Exhibits without the prior written <br />approval of the Owner. <br />Additional Services: The Professional Firm's Compensation for any approved Additional <br />Services shall be as described in the Additional Services Proposal accepted by the Owner. <br />ARTICLE 15 <br />CONSTRUCTION PHASE SERVICES <br />Notwithstanding anything in this Agreement and its attachments, the Professional Firm shall not <br />have control over, charge of, or responsibility for the construction means, methods, techniques, <br />sequences or procedures, or for safety precautions and programs in connection with the work, nor shall <br />the Professional Firm be responsible for the Contractor's failure to perform the Work in accordance with <br />the requirements of the Contract Documents. The Professional Firm shall be responsible for the <br />Professional Firm's negligent acts or omissions, but shall not have control over or charge of, and shall <br />not be responsible for, acts or omissions of the Contractor or of any other persons or entities performing <br />portions of the work. <br />Owner agrees to the extent authorized by the laws and Constitution of the State of Texas, to <br />obtain and maintain for the benefit of Professional Firm the same indemnities and insurance benefits <br />obtained for the protection of Owner from any Contractor or Subcontractor working on the project and <br />shall obtain from that Contractor or Subcontractor insurance certificates evidencing Professional Firm <br />as an additional insured. <br />Page 9 of 19 <br />
