I HEREBY CERTIFY THAT there is on file and of record in my office a certificate to <br /> the effect that the Attorney General of the State of Texas has approved this Certificate, and that <br /> this Certificate has been registered this day by me. <br /> WITNESS MY SIGNATURE AND SEAL OF OFFICE this <br /> [SEAL] Comptroller of Public Accounts <br /> of the State of Texas <br /> Section 6.03. CUSIP Registration. <br /> The City may secure identification numbers through the CUSIP Service Bureau Division <br /> of Standard & Poor's Corporation, and may authorize the printing of such numbers on the face of <br /> the Certificates. It is expressly provided, however, that the presence or absence of CUSIP <br /> numbers on the Certificates shall be of no significance or effect as regards the legality thereof <br /> and neither the City nor the attorneys approving said Certificates as to legality are to be held <br /> responsible for CUSIP numbers incorrectly printed on the Certificates. <br /> Section 6.04. Legal Opinion. <br /> The approving legal opinion of Bond Counsel for the City, may be printed on the back of <br /> each Certificate or, in the case of the definitive Certificates delivered to DTC, attached to each <br /> definitive Certificate, over the certification of the City Secretary, which may be executed in <br /> facsimile. <br /> Section 6.05. Municipal Bond Insurance. <br /> In the event that municipal bond guaranty insurance shall be obtained with respect to the <br /> Certificates, the Certificates, including the Initial Certificate, may bear an appropriate legend, as <br /> provided by such insurer. <br /> In connection with the sale of one or more series of the Certificates, the City may obtain <br /> municipal bond insurance policies from one or more Bond Insurers to guarantee the fill] and <br /> complete payment required to be made by or on behalf of the City on the Certificates. The <br /> Pricing Officer is hereby authorized to sign a commitment letter or insurance agreement with the <br /> Bond Insurer or Bond Insurers and to pay the premium for the bond insurance policies at the <br /> time of the delivery of the Certificates to the underwriter out of the proceeds of sale of the <br /> Certificates or from other available funds and to execute such other documents and certificates as <br /> necessary in connection with the bond insurance policies as the Pricing Officer may deem <br /> appropriate. Printing on the Certificates covered by the bond insurance policies a statement <br /> describing such insurance, in form and substance satisfactory to the Bond Insurer and the Pricing <br /> Officer, is hereby approved and authorized. The Pricing Certificate may contain provisions <br /> related to the bond insurance policies, including payment provisions thereunder, and the rights of <br /> 30 <br /> SAN MARCUS CTRCG&GOB 2018 ordinance <br />
