EXHIBIT "A" <br />Business Description <br />Developer, in conjunction with Altra and any Altra Affiliates, designs and manufactures <br />mechanical power transmission equipment used in a wide variety of industries for industrial <br />control, including clutches and brakes, synchronous and belted variable speed drives; a full range <br />of couplings including grid, disk, jaw, gear and elastomeric products; as well as sheaves and <br />bushings. These products are sold through authorized distributors to end-users and to original <br />equipment manufacturers. <br />The Business to be conducted by Developer on the Land is the engineering, <br />manufacturing and selling of TB Wood's Incorporated, Altra and Altra Affiliates products. <br />These products include low-volume standard and modified standard gear and disc coupling <br />products such as flexible couplings which are sold in North America, with five to ten percent <br />exported globally. <br />For purposes of complying with the requirement to continue operating the Business on <br />the Land for the Term under Section 3.03, it is understood that Developer shall not reduce its <br />operations from the levels in place before expansion of the Business through the Project. The <br />parties agree that the current applicable levels for defining the Business include 50,000 square <br />feet of building improvements and the employment of at least 75 persons on the Land.
