successive one (1) year terms unless terminated by either Party in accordance with the <br /> provisions in Subsection 2.2 below. The conditions set forth below will apply to the initial <br /> term and all renewals. <br /> 2.2 Either Party may terminate this Agreement for convenience and without cause, by <br /> providing ninety (90) calendar days prior written notice thereof to the other Party. <br /> ARTICLE III-TERMS <br /> 3.1 The City agrees to maintain the Firewall residing within the City's Network such that a <br /> connection can be shared between the City and SMCISD. Likewise, SMCISD will <br /> maintain the Firewall residing within the SMCISD Network to allow for the same shared <br /> connection. <br /> 3.2 The Shared Data Connection will be secured against all network traffic except for approved <br /> IP addresses and Port Numbers as determined and agreed upon by the directors of each <br /> respective IT Department. <br /> 3.3 The City and SMCISD agree to jointly maintain the shared connection only for approved <br /> services outlined in this agreement. <br /> 1. Access to SMCISD video surveillance by emergency first responders <br /> a. Eligible first responders are designated as the San Marcos Police Department <br /> (SMPD), the San Marcos Fire Department(SMFD),and those specifically <br /> authorized by the bonafide Incident Commander during a scenario involving <br /> SMCISD. <br /> b. First responders may only access video surveillance in situations characterized <br /> as urgent or life-threatening, or during documented training and rehearsal <br /> exercises conducted specifically in preparation for such an event. <br /> c. Non-urgent matters including monitoring or investigation of behavior or <br /> disruptive activity is not authorized by this agreement. These matters must be <br /> addressed by district administration and may be aided by SMPD School <br /> Resource Officers. <br /> d. Routine video surveillance access by district administrators and School <br /> Resource Officers using on-premise resources and methods not facilitated by <br /> the shared connection are not governed by this agreement. <br /> e. Live or pre-recorded video remains the sole property of SMCISD, and may <br /> not be stored, duplicated, or used for any purpose without the express written <br /> consent of SMCISD. <br /> 2. Virtual Circuits: Either the City or SMCISD (acting as a client) may request a virtual <br /> circuit for network connectivity through the others network(host network). <br /> a. Industry best-practices must be implemented by the client to ensure the data <br /> passed through the host network is encrypted. <br /> b. The host must allow client review of device configuration settings relevant to <br /> the establishment of the virtual circuit and security of client data. <br /> 3 <br />
