k. Delivery of City Documents and Developer Documents. The City <br />Documents and Developer Documents shall have been executed and delivered in form <br />and content satisfactory to the Underwriter. <br />1. Form 8038-G. Evidence that the federal tax information form 8038-G has <br />been prepared by Bond Counsel for filing. <br />in. Federal Tax Certificate. A certificate of the City in form and substance <br />satisfactory to Bond Counsel and counsel to the Underwriter setting forth the facts, <br />estimates and circumstances in existence on the Closing Date, which establish that it is <br />not expected that the proceeds of the Bonds will be used in a manner that would cause the <br />Bonds to be "arbitrage bonds" within the meaning of Section 148 of the Internal Revenue <br />Code of 1986, as amended (the "Code"), and any applicable regulations (whether final, <br />temporary or proposed), issued pursuant to the Code. <br />n. Attorney General Opinion and Comptroller Registration. The approving <br />opinion of the Attorney General of the State regarding the Bonds and the Comptroller of <br />the State's Certificate of Registration for the Initial Bond. <br />o. Continuing Disclosure Agreements. The Continuing Disclosure <br />Agreement of Issuer and the Continuing Disclosure Agreement of Developer shall have <br />been executed by the parties thereto in substantially the forms attached to the Preliminary <br />Limited Offering Memorandum as Appendix E-1 and Appendix E-2. <br />P. Letter of Representation of the Appraiser. (i) Letter of Representation of <br />the Appraiser, substantially in the form of Appendix F hereto, addressed to the City, <br />Bond Counsel, the Underwriter, and the Trustee, or in form otherwise agreed upon by the <br />Underwriter, and (ii) a copy of the real estate appraisal of the property in the District <br />dated November 21, 2018. <br />q. Letter of Representation of PID Administrator. Letter of Representation <br />of PID Administrator, substantially in the form of Appendix G hereto, addressed to the <br />City, Bond Counsel, the Underwriter, and the Trustee, or in form otherwise agreed upon <br />by the Underwriter. <br />r. Letter of Representation of Special Assessment Consultant. Letter of <br />Representation of Development Planning & Financing Group, Inc., as Special <br />Assessment Consultant, substantially in the form of Appendix H hereto, addressed to the <br />City, Bond Counsel, the Underwriter, and the Trustee, or in form otherwise agreed upon <br />by the Underwriter. <br />S. Evidence of Filing of Creation Resolution, Initial Assessment Ordinance, <br />Amended and Restated Additional Assessment Ordinance and Landowner Agreement. <br />Evidence that (i) the Creation Resolution, including legal description of the District by <br />metes and bounds, (ii) the Initial Assessment Ordinance and the Amended and Restated <br />Additional Assessment Ordinance, including the assessment rolls and a statement <br />indicating the contact for and address of where a copy of the Service and Assessment <br />Plan, and any updates thereto may be obtained or viewed and (iii) the Landowner <br />22 <br />4158-2138-4984.4 <br />
