representations and warranties by such parry under this Agreement to the extent such statement is <br />set forth as a representation and warranty in the instrument in question. <br />17. Counterparts. This Agreement may be executed by the parties hereto in separate <br />counterparts, each of which when so executed and delivered shall be an original, but all such <br />counterparts shall together constitute but one and the same instrument. <br />18. Severability. In case any one or more of the provisions contained herein shall for <br />any reason be held to be invalid, illegal or unenforceable in any respect, such invalidity, <br />illegality, or unenforceability shall not affect any other provision hereof. <br />19. State Law Governs. The validity, interpretation, and performance of this <br />Agreement shall be governed by the laws of the State of Texas. <br />20. No Assignment. The rights and obligations created by this Agreement shall not <br />be subject to assignment by the Underwriter or the City without the prior written consent of the <br />other parties hereto. <br />21. No Personal Liability. None of the members of the City Council, nor any officer, <br />representative, agent, or employee of the City, shall be charged personally by the Underwriter <br />with any liability, or be held liable to the Underwriter under any term or provision of this <br />Agreement, or because of execution or attempted execution, or because of any breach or <br />attempted or alleged breach of this Agreement. <br />22. Anti -Boycott Verification. The Underwriter hereby verify that it and its parent <br />company, wholly- or majority-owned subsidiaries, and other affiliates, if any, do not boycott <br />Israel and, to the extent this Agreement is a contract for goods or services, will not boycott Israel <br />during the term of this Agreement. The foregoing verification is made solely to comply with <br />Section 2270.002, Texas Government Code, and to the extent such Section does not contravene <br />applicable Federal law. As used in the foregoing verification, `boycott Israel' means refusing to <br />deal with, terminating business activities with, or otherwise taking any action that is intended to <br />penalize, inflict economic harm on, or limit commercial relations specifically with Israel, or with <br />a person or entity doing business in Israel or in an Israeli -controlled territory, but does not <br />include an action made for ordinary business purposes. The Underwriter understand `affiliate' to <br />mean an entity that controls, is controlled by, or is under common control with the Underwriter <br />and exists to make a profit. <br />23. Iran, Sudan and Foreign Terrorist Organizations. The Underwriter represents that <br />neither it nor any of its parent company, wholly- or majority-owned subsidiaries, and other <br />affiliates is a company identified on a list prepared and maintained by the Texas Comptroller of <br />Public Accounts under Section 2252.153 or Section 2270.0201, Texas Government Code, and <br />posted on any of the following pages of such officer's internet website: <br />https:Hcomptroller.texas.gov/purchasing/docs/sudan-list.pdf, <br />https://comptroller.texas.gov/purchasing/docs/iran-list.pdf, or <br />https:Hcomptroller.texas.gov/purchasing/docs/fto-list.pdf. The foregoing representation is made <br />solely to comply with Section 2252.152, Texas Government Code, and to the extent such Section <br />does not contravene applicable Federal law and excludes the Underwriter and each of its parent <br />25 <br />4158-2138-4984.4 <br />
