e. Information. The information prepared and submitted by the Developer to <br />the City or the Underwriter in connection with the preparation of the Preliminary Limited <br />Offering Memorandum and the Limited Offering Memorandum was, and is, as of this <br />date, true and correct in all material respects. <br />f. Preliminary Limited Offering Memorandum and Limited Offering <br />Memorandum. The Developer represents and warrants that the information set forth in <br />the Preliminary Limited Offering Memorandum and the Limited Offering Memorandum <br />in the snaps on pages (v), (vi) and (vii) and under the captions and subcaptions "PLAN <br />OF FINANCE — Development Plan," " — Status of Public Improvements and Lot <br />Development," " — Homebuilders and Status of Home Construction" and " — Status of <br />Multi -family, Retail and Office/Business Park Sites," "THE PUBLIC <br />IMPROVEMENTS," "THE DEVELOPMENT" and "THE DEVELOPER" and, to the <br />Developer's knowledge after due inquiry, under the captions "BONDHOLDERS' <br />RISKS" (only as it pertains to the Developer, the Public Improvements and the <br />Development, as defined in the Limited Offering Memorandum), "LEGAL MATTERS <br />— Litigation — The Developer," "CONTINUING DISCLOSURE — The Developer" <br />and " — The Developer's Compliance with Prior Undertakings," "SOURCES OF <br />INFORMATION — Developer" and "APPENDIX E-2" is true and correct and does not <br />contain any untrue statement of a material fact or omit to state a material fact necessary to <br />make the statements therein, in the fight of the circumstances under which they were <br />made, not misleading. The Developer agrees to provide a certificate dated the Closing <br />Date affirming, as of such date, the representations contained in this subsection (f) with <br />respect to the Preliminary Limited Offering Memorandum and the Limited Offering <br />Memorandum. <br />g. Events of Default. No "Event of Default" or "event of default" by the <br />Developer under any of the Developer Documents, any documents to which the <br />Developer is a party described in the Limited Offering Memorandum, or under any <br />material documents relating to the financing and construction of the Public Improvements <br />to which the Developer is a party, or event that, with the passage of time or the giving of <br />notice or both, would constitute such "Event of Default" or "event of default," by the <br />Developer has occurred and is continuing. <br />5. Indemnification. <br />a. The Developer will indemnify and hold harmless the City and the <br />Underwriter and each of their officers, directors, employees and agents against any <br />losses, claims, damages or liabilities to which any of them may become subject, under the <br />Securities Act or otherwise, insofar as such losses, claims, damages or liabilities (or <br />actions in respect thereof) arise out of or are based upon an untrue statement or alleged <br />untrue statement of a material fact contained or incorporated by reference in the <br />Preliminary Limited Offering Memorandum and the Limited Offering Memorandum in <br />the maps on pages (v), (vi) and (vii) and under the captions and subcaptions "PLAN OF <br />FINANCE — Development Plan," " — Status of Public Improvements and Lot <br />Development," " <br />Multi -family, <br />Homebuilders and Status of Home Construction" and " — Status of <br />Retail and Office/Business Park <br />A-4 <br />4158-2138-4984.4 <br />Sites," "THE PUBLIC <br />
