Based upon and subject to the foregoing and the additional qualifications and <br />assumptions set forth herein, we are of the opinion that: <br />1. The City is a home rule municipal corporation of the State of Texas and has all <br />necessary power and authority to enter into and perform its obligations under the Authorizing <br />Documents and the City Documents. The City has taken or obtained all actions, approvals, <br />consents and authorizations required of it by applicable laws in connection with the execution of <br />the Authorizing Documents and the City Documents and the performance of its obligations <br />thereunder. <br />2. There is no action, suit, proceeding, inquiry or investigation at law or in equity, <br />before or by any court, public board or body, pending, or, to the best of our knowledge, <br />threatened against the City: (a) affecting the existence of the City or the titles of its officers to <br />their respective offices, (b) in any way questioning the formation or existence of the District, (c) <br />affecting, contesting or seeking to prohibit, restrain or enjoin the delivery of any of the Bonds, or <br />the payment, collection or application of any amounts pledged or to be pledged to pay the <br />principal of and interest on the Bonds, including the Assessments in the District pursuant to the <br />provisions of the Assessment Ordinance and the Service and Assessment Plan referenced therein, <br />(d) contesting or affecting the validity or enforceability or the City's performance of the City <br />Documents, (e) contesting the exclusion of the interest on the Bonds from federal income <br />taxation, or (f) which may result in any material adverse change relating to the financial <br />condition of the City. <br />3. The Authorizing Documents were duly enacted by the City and remain in full <br />force and effect on the date hereof. <br />4. The City Documents have been duly authorized, executed and delivered by the <br />City and remain legal, valid and binding obligations of the City enforceable against the City in <br />accordance with their terms. However, the enforceability of the obligations of the City under <br />such City Documents may be limited or otherwise affected by (a) bankruptcy, insolvency, <br />reorganization, moratorium and other laws affecting the rights of creditors generally, <br />(b) principles of equity, whether considered at law or in equity, and (c) the application of Texas <br />law relating to action by future councils and relating to governmental immunity applicable to <br />governmental entities. <br />5. The performance by the City of the obligations under the Authorizing Documents <br />and the City Documents will not violate any provision of any Federal or Texas constitutional or <br />statutory provision. <br />6. No further consent, approval, authorization, or order of any court or governmental <br />agency or body or official is required to be obtained by the City as a condition precedent to the <br />performance by the City of its obligations under the Authorizing Documents and the City <br />Documents. <br />7. The City has duly authorized, executed and delivered the Preliminary Limited <br />Offering Memorandum. <br />C-3 <br />4158-2138-4984.4 <br />
