sinking fund redemption date, and shall give notice of such redemption, as provided in Section <br />4.6 of the Indenture. <br />The principal amount of Bonds required to be redeemed on any sinking fund redemption <br />date shall be reduced, at the option of the City, by the principal amount of any Bonds of such <br />maturity which, at least 30 days prior to the sinking fund redemption date shall have been <br />acquired by the City at a price not exceeding the principal amount of such Bonds plus accrued <br />and unpaid interest to the date of purchase thereof, and delivered to the Trustee for cancellation. <br />The principal amount of Bonds required to be redeemed on any sinking fund redemption <br />date shall be reduced on a pro rata basis among Sinking Fund Installments by the principal <br />amount of any Bonds which, at least 30 days prior to the sinking fund redemption date, shall <br />have been redeemed pursuant to the optional redemption or extraordinary optional redemption <br />provisions hereof and not previously credited to a mandatory sinking fund redemption. <br />The Bonds may be redeemed prior to their scheduled maturities on any date on or after <br />, 20 , at the option of the City, with funds derived from any available and lawful <br />source, as a whole, or in part, and, if in part, the particular Bonds, or portions thereof, to be <br />redeemed shall be selected and designated by the City, at a redemption price equal to the <br />principal amount to be redeemed plus accrued interest to the date fixed for redemption. <br />The Bonds are subject to extraordinary optional redemption prior to maturity in whole or <br />in part, on any date, at a redemption price equal to the principal amount of the Bonds called for <br />redemption, plus accrued and unpaid interest to the date fixed for redemption from amounts on <br />deposit in the Redemption Fund as a result of Prepayments or any other transfers to the <br />Redemption Fund under the terms of the Indenture. <br />The Trustee shall give notice of any redemption of Bonds by sending notice by first class <br />United States mail, postage prepaid, not less than 30 days before the date fixed for redemption, <br />to the Owner of each Bond (or part thereof) to be redeemed, at the address shown on the <br />Register. The notice shall state the redemption date, the Redemption Price, the place at which the <br />Bonds are to be surrendered for payment, and, if less than all the Bonds Outstanding are to be <br />redeemed, an identification of the Bonds or portions thereof to be redeemed. Any notice so given <br />shall be conclusively presumed to have been duly given, whether or not the Owner receives such <br />notice. <br />With respect to any optional redemption of the Bonds, unless the Trustee has received <br />funds sufficient to pay the Redemption Price of the Bonds to be redeemed before giving of a <br />notice of redemption, the notice may state the City may condition redemption on the receipt of <br />such funds by the Trustee on or before the date fixed for the redemption, or on the satisfaction of <br />any other prerequisites set forth in the notice of redemption. If a conditional notice of redemption <br />is given and such prerequisites to the redemption and sufficient funds are not received, the notice <br />shall be of no force and effect, the City shall not redeem the Bonds and the Trustee shall give <br />notice, in the manner in which the notice of redemption was given, that the Bonds have not been <br />redeemed. <br />32 <br />
