Funds and Accounts. Whenever in this Indenture any moneys are required to be transferred by <br />the City to the Trustee, such transfer may be accomplished by transferring a like amount of <br />Investment Securities as determined and directed in writing by the City. <br />(c) The Trustee and its affiliates may act as sponsor, advisor, depository, principal or <br />agent in the acquisition or disposition of any investment. The Trustee may make any and all such <br />investments through its own investment department or that of its affiliates or subsidiaries, and <br />may charge its ordinary and customary fees for such trades. The Trustee shall not incur any <br />liability for losses arising from any investments made pursuant to this Section. The Trustee shall <br />not be required to determine the legality of any investments. <br />(d) Investments in any and all Funds and Accounts may be commingled in a separate <br />fund or funds for purposes of malting, holding and disposing of investments, notwithstanding <br />provisions herein for transfer to or holding in or to the credit of particular Funds or Accounts of <br />amounts received or held by the Trustee hereunder, provided that the Trustee shall at all times <br />account for such investments strictly in accordance with the Funds and Accounts to which they <br />are credited and otherwise as provided in this Indenture. <br />(e) The Trustee will furnish to the City, upon the City's written request, periodic cash <br />transaction statements which include detail for all investment transactions effected by the Trustee <br />or brokers selected by the City. Upon the City's election, such statements will be delivered via <br />the Trustee's online service and upon electing such service, paper statements will be provided <br />only upon request. The City waives the right to receive brokerage confirmations of security <br />transactions effected by the Trustee as they occur, to the extent permitted by law. The City <br />further understands that trade confirmations for securities transactions effected by the Trustee <br />will be available upon request and at no additional cost and other trade confirmations may be <br />obtained from the applicable broker. <br />(f) In the event it is found, after an annual calculation has been done pursuant to <br />Section 6.8 hereof, that the City owes Rebatable Arbitrage to the United States Government, the <br />City shall direct the Trustee, pursuant to a City Certificate, to transfer to the Rebate Fund the <br />investment earnings on funds on deposit in the Pledged Funds in an amount equal to the <br />Rebatable Arbitrage owed by the City. The City Certificate shall specify the amount to the <br />transferred and the Pledged Fund or Pledged Funds from which the investment earnings shall be <br />transferred. <br />Section 6.12. Security of Funds. <br />All Funds heretofore created or reaffirmed, to the extent not invested as herein permitted, <br />shall be secured in the manner and to the fullest extent required by law for the security of public <br />funds, and such Funds shall be used only for the purposes and in the manner permitted or <br />required by this Indenture. <br />
