(b) The duties and obligations of the Trustee shall be determined by the express <br />provisions of this Indenture, and the Trustee shall not be liable except for the performance of <br />such duties and obligations as are specifically set forth in this Indenture. <br />(c) The Trustee shall not be liable for any action taken or omitted by it in the <br />performance of its duties under this Indenture, except for its own negligence or willful <br />misconduct. In no event shall the Trustee be liable for incidental, indirect, special or <br />consequential damages in connection with or arising from this Indenture for the existence, <br />furnishing or use of the Project and shall not be responsible for any misconduct or negligence on <br />the part of any agent, attorney, or receiver appointed or chosen with due care. <br />(d) The Trustee shall not be liable for any error of judgment made in good faith by <br />any one of its officers, unless it shall be established that the Trustee was negligent in ascertaining <br />the pertinent facts. <br />(e) The Trustee shall not be liable with respect to any action taken or omitted to be <br />taken by it in good faith in accordance with the direction of the Owners of at least a majority of <br />the aggregate outstanding principal of the Bonds relating to the time, method and place of <br />conducting any proceeding for any remedy available to the Trustee, or exercising any trust or <br />power conferred upon the Trustee, under this Indenture. <br />(f) The Trustee shall not be required to take notice, and shall not be deemed to have <br />notice, of any default or Event of Default unless the Trustee shall be notified specifically of the <br />default or Event of Default in a written instrument or document delivered to it by the City or by <br />the Owners of at least a majority of the aggregate outstanding principal of the Bonds at that time. <br />In the absence of delivery of a notice satisfying those requirements, the Trustee may assume <br />conclusively that there is no Event of Default, except as noted above. <br />(g) The Trustee's immunities and protections from liability and its right to <br />indemnification in connection with the performance of its duties under this Indenture shall <br />extend to the Trustee's officers, directors, agents, attorneys and employees. Such immunities <br />and protections and rights to indemnification, together with the Trustee's right to compensation, <br />shall survive the Trustee's resignation or removal, the discharge of this Indenture, and final <br />payment of the Bonds. <br />Section 9.4. Property Held in Trust. <br />All moneys and securities held by the Trustee at any time pursuant to the terms of this <br />Indenture shall be held by the Trustee in trust for the purposes and under the terms and <br />conditions of this Indenture. <br />Section 9.5. Trustee Protected in Relying on Certain Documents. <br />(a) The Trustee may conclusively rely upon any order, notice, request, consent, <br />waiver, certificate, statement, affidavit, requisition, bond, or other document provided to the <br />54 <br />
