Section 9.16 Environmental Hazards. <br />The Trustee may inform any Owner of environmental hazards that the Trustee has reason <br />to believe exist, and the Trustee has the right to take no further action and in such event, no <br />fiduciary duty exists which imposes any obligation for further action with respect to the Trust <br />Estate or any portion thereof if the Trustee, in its individual capacity, determines that any such <br />action would materially and adversely subject the Trustee to environmental or other liability for <br />which the Trustee has not been adequately indemnified. <br />The Trustee shall not be responsible or liable for the environmental condition related to <br />the improvements to any real property or for diminution in value of the same, or for any claims <br />by or on behalf of the owners thereof as the result of any contamination by a hazardous <br />substance, hazardous material, pollutant, or contaminant. The Trustee assumes no duty or <br />obligation to assess the environmental condition of any improvements or with respect to <br />compliance thereof under State or federal laws pertaining to the transport, storage, treatment, or <br />disposal of hazardous substances, hazardous materials, pollutants, or contaminants or <br />regulations, permits, or licenses issued under such laws. <br />Section 9.17. Accounts, Periodic Reports and Certificates. <br />The Trustee shall keep or cause to be kept proper books of record and account (separate <br />from all other records and accounts) in which complete and correct entries shall be made of its <br />transactions relating to the Funds and Accounts established by this Indenture and which shall at <br />all times be subject to inspection by the City, and the Owner or Owners of not less than 10% in <br />principal amount of the Bonds then Outstanding or their representatives duly authorized in <br />writing. <br />Section 9.18. Construction of Indenture. <br />The Trustee may construe any of the provisions of this Indenture insofar as the same may <br />appear to be ambiguous or inconsistent with any other provision hereof, and any construction of <br />any such provisions hereof by the Trustee in good faith shall be binding upon the Owners of the <br />Bonds. <br />ARTICLE X <br />MODIFICATION OR AMENDMENT OF THIS INDENTURE <br />Section 10.1. Amendments Permitted. <br />(a) This Indenture and the rights and obligations of the City and of the Owners of the <br />Bonds may be modified or amended at any time by a Supplemental Indenture, except as provided <br />below, pursuant to the affirmative vote at a meeting of Owners of the Bonds, or with the written <br />consent without a meeting, of the Owners of the Bonds of at least a majority of the aggregate <br />outstanding principal of the Bonds at that time and City approval of such modification or <br />59 <br />
