(b) The Supplemental Indenture shall become effective upon the execution and <br />delivery of such Supplemental Indenture by the Trustee and the City, and the Supplemental <br />Indenture shall be deemed conclusively binding upon the City, the Trustee and the Owners of all <br />Bonds as of the date of such execution and delivery. <br />Section 10.5. Effect of Supplemental Indenture. <br />From and after the time any Supplemental Indenture becomes effective pursuant to this <br />Article X, this Indenture shall be deemed to be modified and amended in accordance therewith, <br />the respective rights, duties, and obligations under this Indenture of the City, the Trustee and all <br />Owners of Bonds Outstanding shall thereafter be determined, exercised and enforced hereunder <br />subject in all respects to such modifications and amendments, and all the terms and conditions of <br />any such Supplemental Indenture shall be deemed to be part of the terms and conditions of this <br />Indenture for any and all purposes. <br />Section 10.6. Endorsement or Replacement of Bonds Issued After Amendments. <br />The City may determine that Bonds issued and delivered after the effective date of any <br />action taken as provided in this Article X shall bear a notation, by endorsement or otherwise, in <br />form approved by the City, as to such action. In that case, upon demand of the Owner of any <br />Bond Outstanding at such effective date and presentation of his Bond for that purpose at the <br />designated office of the Trustee or at such other office as the City may select and designate for <br />that purpose, a suitable notation shall be made on such Bond. The City may determine that new <br />Bonds, so modified as in the opinion of the City is necessary to conform to such Owners' action, <br />shall be prepared, executed, and delivered. In that case, upon demand of the Owner of any Bonds <br />then Outstanding, such new Bonds shall be exchanged at the designated office of the Trustee <br />without cost to any Owner, for Bonds then Outstanding, upon surrender of such Bonds. <br />Section 10.7. Amendatory Endorsement of Bonds. <br />The provisions of this Article X shall not prevent any Owner from accepting any <br />amendment as to the particular Bonds held by such Owner, provided that due notation thereof is <br />made on such Bonds. <br />Section 10.8. Waiver of Default. <br />Subject to Section 10.01, with the written consent of at least a majority of the aggregate <br />outstanding principal of the Bonds at that time, the Owners may waive compliance by the City <br />with certain past defaults under this Indenture and their consequences. Any such consent shall be <br />conclusive and binding upon the Owners and upon all future Owners. <br />Section 10.9. Execution of Supplemental Indenture. <br />In executing, or accepting the additional trusts created by, any Supplemental Indenture <br />permitted by this Article or the modification thereby of the trusts created by this Indenture, the <br />Trustee shall receive, and shall be fully protected in relying upon, an opinion of counsel <br />62 <br />
