ARTICLE XII <br />GENERAL COVENANTS AND REPRESENTATIONS <br />Section 12.1. Representations as to Pledged Revenues. <br />(a) The City represents and warrants that it is authorized by Applicable Laws to <br />authorize and issue the Bonds, to execute and deliver this Indenture and to pledge the Pledged <br />Revenues in the manner and to the extent provided in this Indenture, and that the Pledged <br />Revenues are and will be and remain free and clear of any pledge, lien, charge, or encumbrance <br />thereon or with respect thereto prior to, or of equal rank with, the pledge and lien created in or <br />authorized by this Indenture except as expressly provided herein. <br />(b) The City shall at all times, to the extent permitted by Applicable Laws, defend, <br />preserve and protect the pledge of the Pledged Revenues and all the rights of the Owners and the <br />Trustee, under this Indenture against all claims and demands of all Persons whomsoever. <br />(c) Subject to Section 7.2(d), the City will take all steps reasonably necessary and <br />appropriate, and will direct the Trustee to take all steps reasonably necessary and appropriate, to <br />collect all delinquencies in the collection of the Assessments and any other amounts pledged to <br />the payment of the Bonds to the fullest extent permitted by the PID Act and other Applicable <br />Laws. <br />Section 12.2. General. <br />The City shall do and perform or cause to be done and performed all acts and things <br />required to be done or performed by or on behalf of the City under the provisions of this <br />Indenture. <br />ARTICLE XIII <br />SPECIAL COVENANTS <br />Section 13.1. Further Assurances; Due Performance. <br />(a) At any and all times the City will duly execute, acknowledge and deliver, or will <br />cause to be done, executed and delivered, all and every such further acts, conveyances, transfers, <br />and assurances in a manner as the Trustee shall reasonably require for better conveying, <br />transferring, pledging, and confirming unto the Trustee, all and singular, the revenues, Funds, <br />Accounts and properties constituting the Pledged Revenues, and the Trust Estate hereby <br />transferred and pledged, or intended so to be transferred and pledged. <br />(b) The City will duly and punctually keep, observe and perform each and every <br />term, covenant and condition on its part to be kept, observed and performed, contained in this <br />Indenture. <br />•: <br />
