ARTICLE 14 <br />NOTICES <br />14.1 Notices required under this Agreement will be provided by the parties to one another by <br />certified mail, return receipt requested, or by confirmed facsimile transmission, to the following <br />addresses: <br />To the City: To the Engineer: <br />City Manager Brian Meuth, P.E. <br />City of San Marcos M & S Engineering, LLC <br />630 E. Box 970 <br />San Marcos, Texas 78666 Spring Branch, Texas 78070 <br />Fax: 512-396-4656 Fax: 830-885-2170 <br />ARTICLE 15 <br />BASIS OF COMPENSATION <br />15.1 The City will compensate the Engineer, in accordance with Article 5, Payments to the <br />Engineer, and the other terms and conditions of this Agreement, as follows: <br />15.2 The total of all fees and expenses to be paid to Engineer for Basic Services as described <br />in Article 1 for the initial three year term of the Agreement as approved by the City and as <br />evidenced in its issuance of individual Work Authorizations, will not exceed $750,000.00 The <br />Engineer and the City will negotiate a not-to-exceed amount of compensation for inclusion in <br />each individual Work Authorization prior to the City's issuance of same. The compensation <br />included in the Work Authorizations will be divided to match the tasks identified in Section 1.1 <br />through 1.4 and may include additional tasks as authorized by Section 1.5 of this Agreement as <br />well as reimburseable expenses all as incorporated into the individual Work Authorizations (see <br />Attachment A) as project(s) are assigned to the Engineer by the City. The City will not <br />compensate the Engineer in excess of the amount indicated in the Work Authorization assigning <br />a particular Project without prior written authorization from the City. <br />15.3 Compensation for Basic Services and for Additional Services of the Engineer will be <br />computed based on the Engineer's standard hourly rates. These rates will remain in full force <br />and effect for the initial term of this Agreement and may only be altered with the City's prior <br />approval. Any such change in the hourly rates will be accomplished using the Authorization in <br />Change of Services Form (Attachment B). <br />Principal Engineer $195.00 <br />Senior Engineer $150.00 <br />Project Engineer $135.00 <br />Technical Specialist $125.00 <br />Engineer in Training $100.00 <br />Project Manager $160.00 <br />Senior Technician 11 $105.00 <br />Senior Technician 1 $ 95.00 <br />M&S Agreement 2009 <br />19
