amended or other applicable law. <br />"Premium Compound Interest Bonds" means the Bonds on which no interest is paid prior <br />to maturity, maturing in various amounts and in the aggregate principal amount as set forth in the <br />Pricing Certificate. <br />"Pricing Certificate" means a Pricing Certificate of the City's Pricing Officer to be <br />executed and delivered pursuant to Section 4 hereof in connection with the issuance of a Series <br />of Bonds. <br />"Pricing Officer" means the City Manager, acting as the designated pricing officer of the <br />City to execute the Pricing Certificate. In the absence of the City Manager, the Assistant City <br />Manager or Director of Finance may act as the designated pricing officer of the City to execute <br />the Pricing Certificate. <br />"Rating Agency" means any nationally recognized securities rating agency which has <br />assigned, at the request of the City, a rating to the Parity Obligations. <br />"Record Date" means Record Date as defined in Section 7, the Form of Bonds. <br />"Redemption Date" means a date fixed for redemption of any Bond pursuant to the terms <br />of this Ordinance. <br />"Refunded Obligations" means those Refundable Obligations designated by the Pricing <br />Officer in the Pricing Certificate to be refunded. <br />"Refundable Obligations" means all or a portion of the City's outstanding debt <br />obligations. <br />"Register" or "Registration Books" means the registry system maintained on behalf of the <br />City by the Registrar in which are listed the names and addresses of the Registered Owners and <br />the principal amount of Bonds registered in the name of each Registered Owner. <br />"Replacement Bonds" means the Bonds authorized by the City to be issued in substitution <br />for lost, apparently destroyed, or wrongfully taken Bonds as provided in Section 10 of this <br />Ordinance. <br />"Rule" means SEC Rule 15c2-12, as amended from time to time. <br />"SEC" means the United States Securities and Exchange Commission. <br />"Series" means a separate series of Bonds as specified by or pursuant to the terms of this <br />Ordinance and the related Pricing Certificate. <br />"Taxable Bonds" means a Series of Bonds bearing interest at a taxable rate. <br />"Tax -Exempt Bonds" means a Series of Bonds bearing interest which is excludable from <br />gross income for Federal taxation purposes pursuant to Section 103 of the Code. <br />A-4 <br />San Marcos GORB2019 - Delegated: Ordinance <br />
