and the Hays County Auditor, County shall make a final payment to Contractor as <br />provided in Section 3.3(i) of this Agreement. <br />VI. Conditions Precedent. <br />6.1 This Agreement shall become effective and binding on the City and the County upon <br />approval by the Hays County Commissioners Court and the San Marcos City <br />Council and the acceptance of its terms and conditions by resolution of the Board of <br />Directors of The Village of San Marcos, Texas. The resolution of the Board of <br />Directors shall be attached hereto as Exhibit "C" and shall provide that: a) the <br />Board acknowledges receiving a copy of this Agreement and has no objections to <br />the terms hereof; b) resolves to act in accordance with the terms and conditions of <br />this Agreement, where appropriate, and perform all acts it is required to perform <br />hereunder; and c) resolves to accept an amendment to the existing Subrecipient <br />Agreement between the City of San Marcos, Texas and the Village in order to <br />accomplish the purposes set forth in this Agreement. <br />6.2 The City, by way of its agreement(s) with The Village, shall obligate The Village to <br />transfer a permanent Park and Recreational Easement, as defined below, to the <br />County, as holder. Prior to its transfer to the County, the terms of the permanent <br />Park and Recreational Easement must be approved as to form by the County, the <br />City, and The Village. The Easement shall be properly recorded in Hays County's <br />Official Public Records at or about the time of transfer. For the purposes of this <br />Agreement "Park and Recreational Easement" shall mean an express easement that <br />obligates the property owner to dedicate the parcels of land described in Exhibit <br />"D" to recreational use by the public (subject to reasonable limitations of time,
