"City" means the City of San Marcos, Texas. <br />"City Council" means the governing body of the City. <br />"County" means Hays County, Texas. <br />"Delinquent Collection Costs" mean, for an Assessed Property, interest, penalties, and other <br />costs and expenses authorized by the PID Act that directly or indirectly relate to the collection of <br />delinquent Assessments, delinquent Annual Installments, or any other delinquent amounts due <br />under this SAP, including costs and expenses to foreclose liens. <br />"Developer" means Whisper Master Community Limited Partnership, Ltd., a Texas limited <br />partnership. <br />"Developer District Formation Costs" mean the costs incurred by the Developer and associated <br />with forming the District, levying the Assessments and issuing the PID Bonds. <br />"District" means the Whisper Public Improvement District, consisting of approximately 706.349 <br />acres within the corporate limits of the City, as described legally by metes and bounds on Exhibit <br />A-1 and as depicted by the map on Exhibit B-1. <br />"District Formation and Bond Issuance Costs" mean the costs associated with forming the <br />District and issuing PID Bonds, including but not limited to attorney fees, financial advisory fees, <br />consultant fees, appraisal fees, printing costs, publication costs, City costs, capitalized interest, <br />reserve fund requirements, first year's Annual Collection Costs, underwriter discount, fees <br />charged by the Texas Attorney General, Developer District Formation Costs, and any other cost <br />or expense directly associated with the establishment of the District and/or the issuance of PID <br />Bonds. <br />"Estimated Buildout Value" means the estimated buildout value of an Assessed Property, based <br />on information from the Developer, which shall be verified by the Administrator and confirmed <br />by the City Council by considering such factors as density, lot size, proximity to amenities, view <br />premiums, location, market conditions, historical sales, builder contracts, discussions with <br />homebuilders, reports from third party consultants, or any other information that may impact <br />value. In the case of single-family residential Lots, there shall be only one Lot Type.
