Section 10.03 Litigation. Contractor shall notify the Division Contract Management Unit <br />assigned to the Program Attachment of litigation related to or affecting this Contract and to <br />which Contractor is a party within seven (7) calendar days of becoming aware of such a <br />proceeding. This includes, but is not limited to an action, suit or proceeding before any court or <br />governmental body, including environmental and civil rights matters, professional liability, and <br />employee litigation. Notification shall include the names of the parties, nature of the litigation <br />and remedy sought, including amount of damages, if any. <br />Section 10.04 Action Against the Contractor. Contractor shall notify the Division Contract <br />Management Unit assigned to the Program Attachment if Contractor has had a contract <br />suspended or terminated for cause by any local, state or federal department or agency or <br />nonprofit entity within three (3) working days of the suspension or termination. Such <br />notification shall include the reason for such action; the name and contact information of the <br />local, state or federal department or agency or entity; the date of the contract; and the contract or <br />case reference number. If the Contractor, as an organization, has surrendered its license or has <br />had its license suspended or revoked by any local, state or federal department or agency or non- <br />profit entity, it shall disclose this information within three (3) working days of the surrender, <br />suspension or revocation to the Division Contract Management Unit assigned to the Program <br />Attachment by submitting a one -page description that includes the reason(s) for such action; the <br />name and contact information of the local, state or federal department or agency or entity; the <br />date of the license action; and a license or case reference number. <br />Section 10.05 Insolvency. Contractor shall notify in writing the Division Contract Management <br />Unit assigned to the Program Attachment of Contractor's insolvency, incapacity, or outstanding <br />unpaid obligations to the Internal Revenue Service (IRS) or Texas Workforce Commission <br />(TWC) within three (3) working days of the date of determination that Contractor is insolvent or <br />incapacitated, or the date Contractor discovered an unpaid obligation to the IRS or TWC. <br />Contractor shall notify in writing the Division Contract Management Unit assigned to the <br />Program Attachment of its plan to seek bankruptcy protection within three (3) working days of <br />such action by the Contractor's governing body. <br />Section 10.06 Misuse of Funds and Performance Malfeasance. Contractor shall report to the <br />Division Contract Management Unit assigned to the Program Attachment, any knowledge of <br />debarment, suspected fraud, program abuse, possible illegal expenditures, unlawful activity, or <br />violation of financial laws, rules, policies, and procedures related to performance under this <br />Contract. Contractor shall make such report no later than three (3) working days from the date <br />that the Contractor has knowledge or reason to believe such activity has taken place. <br />Section 10.07 Criminal Activity and Disciplinary Action. Contractor affirms that no person <br />who has an ownership or controlling interest in the organization or who is an agent or managing <br />employee of the organization has been placed on community supervision, received deferred <br />adjudication, is presently indicted for or has been convicted of a criminal offence related to any <br />financial matter, federal or state program or felony sex crime. Contractor shall notify in writing <br />the Division Contract Management Unit assigned to the Program Attachment if it has reason to <br />believe Contractor, or a person with ownership or controlling interest in the organization or who <br />is an agent or managing employee of the organization, an employee or volunteer of Contractor, <br />or a subcontractor has engaged in any activity that would constitute a criminal offense equal to or <br />General Provisions (Core Subrecipient) 2010 16 <br />
