participation in this Contract has been convicted of violating federal law, or been assessed a <br />federal civil or administrative penalty, in connection with a contract awarded by the federal <br />government for relief, recovery or reconstruction efforts as a result of Hurricanes Rita or Katrina <br />or any other disaster occurring after September 24, 2005; (c) Contractor certifies that the <br />individual or business entity named in this Contract is not ineligible to receive the specified <br />Contract under Tex. Gov. Code §§ 2155.004, 2155.006 or 2261.053, and acknowledges that this <br />Contract may be terminated and payment withheld if these certifications are inaccurate. <br />Section 11.06 Antitrust. Pursuant to 15 USC § 1, et seq. and Tex. Bus. & Comm. Code § <br />15.01, et seq. Contractor certifies that neither Contractor, nor anyone acting for the Contractor <br />has violated the antitrust laws of this state or federal antitrust laws, nor communicated directly or <br />indirectly regarding a bid with any competitor or any other person engaged in Contractor's line <br />of business for the purpose of substantially lessening competition in such line of business. <br />Section 11.07 Initiation and Completion of Work. Contractor certifies that it shall initiate and <br />complete the work under this Contract within the applicable time frame prescribed in this <br />Contract. <br />ARTICLE XII GENERAL BUSINESS OPERATIONS OF CONTRACTOR <br />Section 12.01 Responsibilities and Restrictions Concerning Governing Body, Officers and <br />Employees. Contractor and its governing body shall bear full responsibility for the integrity of <br />the fiscal and programmatic management of the organization. This provision applies to all <br />organizations, including Section 501(c)(3) organizations as defined in the Internal Revenue <br />Service Code as not - for - profit organizations. Each member of Contractor's governing body shall <br />be accountable for all funds and materials received from Department. The responsibility of <br />Contractor's governing body shall also include accountability for compliance with Department <br />Rules, policies, procedures, and applicable federal and state laws and regulations; and correction <br />of fiscal and program deficiencies identified through self - evaluation and Department's <br />monitoring processes. Further, Contractor's governing body shall ensure separation of powers, <br />duties, and functions of governing body members and staff. Staff members, including the <br />executive director, shall not serve as voting members of the Contractor's governing body. No <br />member of Contractor's governing body, or officer or employee of Contractor shall vote for, <br />confirm or act to influence the employment, compensation or change in status of any person <br />related within the second degree of affinity or the third degree of consanguinity (as defined in <br />Tex. Gov. Code Chapter 573) to the member of the governing body or the officer or any <br />employee authorized to employ or supervise such person. This prohibition does not prohibit the <br />continued employment of a person who has been continuously employed for a period of two (2) <br />years prior to the election, appointment or employment of the officer, employee, or governing <br />body member related to such person in the prohibited degree. These restrictions shall also apply <br />to the governing body, officers and employees of Contractor's subcontractors. Ignorance of any <br />Contract provisions or other requirements contained or referred to in this Contract shall not <br />constitute a defense or basis for waiving or appealing such provisions or requirements. <br />Section 12.02 Management and Control Systems. Contractor shall comply with all the <br />requirements of the Department's Contractor's Financial Procedures Manual, and any of its <br />General Provisions (Core Subrecipient) 2010 19 <br />
