ARTICLE II <br />Representations and Warranties <br />Section 2.01. Representations and Warranties of Authority. <br />The Authority hereby represents to the Parties that: <br />A. The Authority is a political subdivision under the laws of the State and is duly <br />qualified and authorized to carry out the governmental functions as contemplated by this Amended <br />and Restated Contract; the Authority has full power and authority to sell or otherwise convey <br />treated water to the Contracting Parties in accordance with the terms of this Amended and Restated <br />Contract. <br />B. The Authority has the power, authority, and legal right to enter into and perform <br />under this Amended and Restated Contract and the execution, delivery, and performance hereof <br />have been duly authorized. <br />C. The Authority is authorized to own and finance the Project pursuant to the <br />Authority Act, including the issuance of the Series 2021 Bonds. <br />D. This Amended and Restated Contract has been duly authorized, executed, and <br />delivered and constitutes a legal, valid, and binding special obligation of the Authority enforceable <br />in accordance with its terms. <br />Section 2.02. Representations and Warranties of Participating Members. <br />Each of the Participating Members hereby represents and warrants to the Parties that: <br />A. It is a political subdivision or water supply corporation under the laws of the State <br />and has full power and authority to purchase treated water from the Authority in accordance with <br />the terms of this Amended and Restated Contract, and the execution, delivery, and performance <br />hereof have been duly authorized. <br />B. The execution and delivery of this Amended and Restated Contract by such <br />Participating Member and the performance of the provisions hereof by such Participating Member <br />do not and will not conflict with or constitute on the part of such Participating Member a breach <br />or a default of any provision of any other contract or agreement of such Participating Member. <br />C. This Amended and Restated Contract has been duly authorized, executed, and <br />delivered and constitutes a legal, valid, and binding obligation of the Participating Member <br />enforceable in accordance with its terms. <br />100585362.23 -10- <br />
