Memorandum of Understanding <br />Between the City of San Marcos <br />And Keep Texas Beautiful <br />For the EPA Trash Free Waters Grant <br />WHEREAS, Keep Texas Beautiful is a Not for Profit Organization; and, <br />WHEREAS, The City of San Marcos is a local municipality and Keep San Marcos Beautiful is <br />an initiative of the City of San Marcos; and, <br />WHEREAS, on November 22, 2019, the KTB leadership authorized Keep Texas Beautiful to <br />submit a grant application to the Environmental Protection Agency (EPA) and, upon award, <br />provided the authority to execute contractual agreements necessary to carry out the grant; <br />and, <br />WHEREAS, the City of San Marcos is committed to partner with Keep Texas Beautiful as part <br />of the Reduction and Prevention of Trash in Texas and the Gulf of Mexico Watershed project; <br />and, <br />WHEREAS, Keep Texas Beautiful received a Trash Free Waters grant from the <br />Environmental Protection Agency (EPA), <br />NOW, THEREFORE, for and in consideration of the mutual covenants and conditions <br />contained herein, the parties agree as follows: <br />ARTICLE 1. PARTIES <br />1.1 Parties. This Agreement, hereinafter referred to as the "Agreement", is made and <br />entered into by and between Keep Texas Beautiful, hereinafter referred to as "KTB", <br />and the City of San Marcos, hereinafter referred to as "SUBRECIPIENT". KTB and <br />SUBRECIPIENT may each be referred to as a "Party" and may be collectively referred <br />to as "Parties" to this Agreement. <br />ARTICLE 2. FUNDING <br />2.1. Award Amount. KTB will reimburse SUBRECIPIENT's eligible costs as outlined in <br />the Scope of Work under the conditions in this Agreement not to exceed the Maximum <br />Award Amount of $100,000. The actual amount paid may be less than the maximum <br />Award Amount and will be determined under the conditions of this Agreement. <br />SUBRECIPIENT shall be responsible for any costs in excess of the Maximum Award <br />Amount. <br />2.2. Source of Funds. The source of funds for this Agreement is U.S. Environmental <br />Protection Agency Gulf of Mexico Program funds, hereinafter referred to as "Funding <br />Program". SUBRECIPIENT agrees to comply with any and all requirements <br />associated with the Funding Program. KTB was awarded funding from the EPA on <br />March 10, 2020 for $428,000 dollars to support the Reduction and Prevention of Trash <br />in Texas and the Gulf of Mexico Watershed, hereinafter referred to as "PROJECT." <br />Memorandum of Understanding Page 2 <br />
