CUSTOMER agrees to execute HIGH LINE'S Implementation Agreement with respect to the Quickstart <br />Implementation services identified above. <br />The Fee Schedules above outlines an estimate of the Implementation costs, based on our experience in <br />similar environments. A detailed project plan will be jointly developed during the Planning Session held <br />at the start of the project; actual costs are determined at that session. The actual costs for the services <br />proposed will not exceed the above pricing in the table. <br />In an effort to demonstrate our desire to continue our partnership that is mutually beneficial, HIGH LINE <br />has proposed a reduction in our standard rates by providing all services identified above at remote <br />consulting rates for the duration of the project, assuming the project does not extend beyond 1-year from <br />the date of contract signing. Travel Expenses <br />Travel Expenses will be paid at cost, but cannot exceed $42,000.00, for the 14 planned on-site sessions <br />for the Quickstart Services in Section A above. <br />Part III - Total Costs <br />The actual costs for the services and products proposed will not exceed the above pricing in the table. <br />Any unanticipated services require prior authorization and will be based on the rates outlined in Part IV <br />(A) of this agreement not to exceed $50,000. <br />10/28/2009 4
