Obligation Payments when due, and to cure any deficiency in such amounts as required by the <br />terms of this Second Supplement. <br />During such time as the Reserve Account contains the Required Reserve Amount, the <br />obligation to maintain the Required Reserve Amount has been suspended pursuant to subsection <br />(d) below or any cash is replaced with a Reserve Account Obligation pursuant to subsection (c) <br />below, the City may, at its option, withdraw all surplus funds in the Reserve Account and (i) <br />deposit such surplus in the Interest and Sinking Account; (ii) use such surplus for improvements <br />to the City's Electric Utility System as provided by this Supplement; or (iii) use as authorized <br />under the Enabling Act, unless such surplus is required to be rebated in which case such event <br />shall be deposited into the Rebate Account. <br />(c) A Reserve Account Obligation issued in an amount equal to all or part of the <br />Required Reserve Amount for the Bonds may be used in lieu of depositing cash into the Reserve <br />Account. In addition, a Reserve Account Obligation may be substituted for monies and <br />investments in the Reserve Account if the substitution of the Reserve Account Obligation will <br />not, in and of itself, cause any ratings then assigned to the Bonds by any rating agency to be <br />lowered and the ordinance authorizing the substitution of the Reserve Account Obligation for all <br />or part of the Required Reserve Amount contains a finding that such substitution is cost <br />effective. <br />(d) Notwithstanding anything to the contrary contained herein, the requirement set forth <br />in subsection (a) above to maintain the Required Reserve Amount in the Reserve Account shall <br />be suspended for such time as the Net Revenues for each Fiscal Year are equal to at least 1.35 <br />times the average Annual Debt Service Requirements. In the event that the Net Revenues for <br />any Fiscal Year are less than 1.35 times the average Annual Debt Service Requirements, the City <br />will be required to commence making Required Reserve Account Deposits, as provided in <br />subsection (b) above, and to continue such Required Reserve Account Deposits until the earlier <br />of (i) such time as the Reserve Account contains the Required Reserve Amount or (ii) the Net <br />Revenues in each of two consecutive years have been equal to not less than 1.35 times the <br />average Annual Debt Service Requirements. Notwithstanding the provisions of Section 4.03(a) <br />of this section, if the City commences deposits in the Reserve Account and later is authorized to <br />suspend payments into the fund under this section any funds so accumulated may, at the <br />discretion of the City: (i) remain in the Reserve Account or (ii) be used for any lawful purpose <br />including additional projects or to pay debt service on the Bonds. <br />(e) A Reserve Account Obligation permitted under (a) above, must be in the form of a <br />surety bond or insurance policy meeting the requirements described below. <br />(1) (i) A surety bond or insurance policy issued to the Paying Agent/Registrar, as agent of <br />the Holders, by a company licensed to issue an insurance policy guaranteeing the timely <br />payment of debt service on the Bonds (a "municipal bond insurer") if the claims paying <br />ability of the issuer thereof shall be rated "AA" or "Aa", respectively, by S&P and <br />Moody's, or (ii) a surety bond or insurance policy issued to the Paying Agent/Registrar, <br />as agent of the Holders, by an entity other than a municipal bond insurer, if the form and <br />17 <br />SanMARCOS\ELectricUliLSysRevBonds\2021: 2116uppOrdmiice <br />
